ActiveBlue 2 - Lizenzbedingungen Dies ist ein Vertrag zwischen Ihnen (einer natrlichen oder einer juristischen Person) und der HPH-Software GmbH. Die HPHSoftware GmbH gewhrt Ihnen eine nicht exklusive, nicht bertragbare, weltweit gltige Lizenz zur Nutzung der Software ActiveBlue 2 - ActiveX sowie der zugehrigen Speichermedien und Dokumente (im folgenden zusammenfassend ActiveBlue 2 genannt) zur Entwicklung von Endverbraucher Applikationen. Mit der Installation und Nutzung von ActiveBlue 2 erklren Sie sich mit allen Bestimmungen dieses Vertrags ausnahmslos und ohne Einschrnkung einverstanden. Wenn Sie mit den Bestimmungen dieses Vertrags nicht oder nicht vollstndig einverstanden sind, knnen Sie innerhalb von 30 Tagen nach Kaufdatum die unbenutzte Software an die HPH-Software GmbH zurckgeben; der Kaufpreis wird Ihnen dann (ggf. abzglich einer Bearbeitungsgebhr) zurckerstattet. ActiveBlue 2 ist Eigentum der HPH-Software GmbH und international urheberrechtlich geschtzt. ActiveBlue 2 wird nicht verkauft, sondern zur beschrnkten Nutzung berlassen. Mit diesem Lizenzvertrag rumt Ihnen die HPH-Software GmbH ein nicht ausschlieliches, eingeschrnktes Nutzungsrecht ein. Gewhrung der Lizenz Die HPH-Software GmbH gewhrt hiermit ausschlielich Ihnen als Lizenznehmer eine nicht exklusive, nicht bertragbare Lizenz, die Ihnen die Installation, das Kopieren und die Nutzung von ActiveBlue 2 im Sinne der folgenden Bestimmungen erlaubt. Die Lizenzierung von ActiveBlue 2 erfolgt je Entwickler: Jede Person die auf ActiveBlue 2 zugreift und nutzt, um eine Applikation zu entwickeln, muss eine entsprechende individuelle Lizenz erwerben. Der Lizenznehmer darf Kopien von ActiveBlue 2 auf mehreren Computersystemen installieren. Die Nutzung dieser Kopien darf aber ausschlielich nur durch den Lizenznehmer erfolgen. ActiveBlue 2 wird aktiv auf einem Computersystem genutzt, sobald es in den flchtigen Speicher (RAM) geladen oder auf einem Festspeicher (z.B. Festplatte oder Wechselplatten) installiert wurde, um in einer Umgebung zur Entwicklung von Applikationen eingesetzt zu werden. Als Lizenznehmer wird Ihnen 1 (eine) Entwicklerlizenz gewhrt. Diese Entwicklerlizenz erlaubt die gebhrenfreie Distribution von ActiveBlue 2 mit einer unbeschrnkten Anzahl von Endverbraucher Applikationen, vorausgesetzt der Lizenznehmer war mageblich an der Entwicklung der Applikation beteiligt. Einschrnkungen Sie drfen ActiveBlue 2 als Ganzes oder in Teilen auf keine andere Art kopieren oder benutzen als ausdrcklich in diesen Lizenzbedingungen festgelegt. Sie drfen Ihre Nutzungsrechte nicht (z.B. im Wege der Vermietung oder Unterlizenzierung) auf Dritte bertragen. Sie drfen ActiveBlue 2 nicht zurckentwickeln, dekompilieren oder disassemblieren. Die Software und Dokumentation drfen Sie lediglich zu Archivierungszwecken kopieren. Sie drfen die ActiveBlue 2 Laufzeitdateien nicht zusammen mit einem Produkt weitergeben, welches keine eigenstndige Endverbraucher Applikation darstellt, sondern Softwarekomponenten (z.B. linkfhiger Objektcode oder Bibliotheken), Kommunikationsserver (z.B. DDE-Server oder OPC-Server) oder Gateways fr andere Anwendungen sind. Im speziellen drfen Sie die ActiveBlue 2 Laufzeitdateien nicht mit einem Softwareprodukt zusammen weitergeben, das geeignet ist, mit ActiveBlue 2 in irgendeiner Weise in Konkurrenz zu treten. Laufzeit der Lizenz Ihr Nutzungsrecht fr ActiveBlue 2 beginnt nach vollstndiger Zahlung der Lizenzgebhren. Sie knnen die Lizenz jederzeit beenden, indem Sie ActiveBlue 2 zusammen mit allen eventuell angelegten Kopien zerstren. Ihr Nutzungsrecht endet automatisch, sobald Sie gegen eine Bestimmung dieses Lizenzvertrags verstoen. Sie erklren sich damit einverstanden, im Falle einer solchen Beendigung ActiveBlue 2 zusammen mit allen eventuell angelegten Kopien zu zerstren. Weitergabe von Laufzeitdateien Zu den ActiveBlue 2 Laufzeitdateien fr Windows gehren die Dateien hph_ab2.ocx und hph_ab2s.exe, sowie alle Dateien im Verzeichnis "WIN32Redistributables". Sie drfen unmodifizierte Kopien der Laufzeitdateien ohne zustzliche Lizenzgebhren, Stckzahl unabhngig, zusammen mit den Endverbraucher Applikationen, die Sie mit ActiveBlue 2 entwickelt haben, an Dritte weitergeben, solange Sie sich an die folgenden Bestimmungen halten. Die Weitergabe jeglicher anderer Bestandteile von ActiveBlue 2, insbesondere Header-Dateien, Lizenzdateien und -schlssel, ist ausdrcklich untersagt. Mit der Weitergabe der Laufzeitdateien mssen Sie die Copyright-Meldung "Fr Teile des Codes Copyright 2006 HPH-Software GmbH. Alle Rechte vorbehalten.", an geeigneter Stelle auf Ihrem Datentrger, auf der Verpackung, im Handbuch oder im Infotext/Online-Hilfe Ihrer Anwendung anbringen. Sie stellen die HPH-Software GmbH von allen Ansprchen frei, die sich aus der Weitergabe und Benutzung der ActiveBlue 2 Laufzeitdateien zusammen mit Ihrer Endverbraucher Applikation ergeben knnen. Sollte die HPH-Software GmbH Ihnen verbesserte oder korrigierte Versionen der Laufzeitdateien zur Verfgung stellen, drfen Sie diese ebenfalls unter den oben genannten Bedingungen weitergeben. Gewhrleistung und Haftung Die Gewhrleistung und Haftung ergeben sich aus unseren Allgemeinen Lieferungs- und Leistungsbedingungen. In jedem Fall bleibt die Haftung auf die Hhe der gezahlten Lizenzgebhren beschrnkt. Schlussbestimmungen Dieser Vertrag beinhaltet die vollstndigen Lizenzbestimmungen und unsere Allgemeinen Lieferungs- und Leistungsbedingungen und ersetzt alle eventuell zuvor getroffenen Regelungen. nderungen und Ergnzungen bedrfen der Schriftform. Die Annahme Ihres Auftrags ist ausdrcklich daran gebunden, dass Sie diesem Vertrag zustimmen und dass eventuell in Ihrem Auftrag enthaltene abweichende Bestimmungen keine Anwendung finden. Sollten einzelne Bestimmungen dieses Vertrages ganz oder teilweise unwirksam sein oder werden, so wird dadurch die Rechtswirksamkeit der brigen Bestimmungen nicht berhrt. Die unwirksame Bestimmung ist durch eine Formulierung zu ersetzen, die den Zweck der unwirksamen Bestimmung am weitestgehenden erreicht. Fr die Geschftsbeziehung zwischen dem Kufer und uns gilt das Recht der Bundesrepublik Deutschland. Die Anwendung des UNKaufrechts ist ausgeschlossen. Erfllungsort und, sofern der Kufer Vollkaufmann, juristische Person des ffentlichen Rechts oder ffentlich-rechtliches Sondervermgen ist, Gerichtsstand sind Mnchengladbach. ActiveBlue 2 - License Agreement This is a legal agreement ("License Agreement") between You (either an individual or an entity) ("licensee"), and HPH-Software GmbH. HPH-Software GmbH grants a non-exclusive, non-transferable, worldwide, royalty-free license to use the software "ActiveBlue 2 - ActiveX" and all of the contents of file(s), disk(s), CD-ROM(s), manual(s), documentation(s) or other media with which this Agreement is provided (in the following called ActiveBlue 2) in the development of end user applications. Upon installing and using ActiveBlue 2 the licensee accepts and agrees to all terms and conditions of the License Agreement. If you do not accept all the terms and conditions of this Agreement you have the right to return ActiveBlue 2 to HPH-Software GmbH within 30 days of purchase date. The license fee (less administrative charges) will be refunded. ActiveBlue 2 is the property of HPH-Software GmbH and is copyrighted and protected under international copyright laws. Grant of License HPH-Software GmbH hereby grants to the licensee, and the licensee accept, a non-exclusive, non-transferable license to install, copy, and use ActiveBlue 2 only as authorized below. ActiveBlue 2 is licensed per Developer seat. This means that each individual using or otherwise accessing ActiveBlue 2 for development purposes must obtain the right to do so by purchasing an individual product license. The licensee may make copies on more than one computer, as long as the use of ActiveBlue 2 is by the same licensed developer. ActiveBlue 2 is in "use" on a computer when it is loaded into temporary memory (i.e. RAM) or installed into permanent memory (e.g. hard disk or other storage device) of that computer for development purposes. The licensee is granted 1 (one) Single Developer license to distribute ActiveBlue 2 royalty-free with an unlimited number of applications, provided they are developed by the licensed developer. Restrictions The licensee may not use, copy or distribute ActiveBlue 2 (in parts or as a whole) in any other way than granted by the License Agreement. You may not rent, lease, loan, sublicense or resell ActiveBlue 2. You may not transfer any of the rights granted to you under this Agreement. You may not reverse engineer, decompile, or disassemble ActiveBlue 2. You may not copy the Software or Documentation, except for archival purposes. You may not modify, or create derivative works based upon the Software in whole or in part. The Application Software you distribute the runtime files with must be an "end user application". An "end user application" is a specific application program that is licensed to a person or firm for commercial or personal use and may be either an application that is used by the licensee internally, or an application that is commercially distributed to end users for their use. The end user application can not be any kind of software development toolkit, component or any other kind of software developers resource that can be used to program new end user application. Under no circumstances you are allowed to distribute ActiveBlue 2 (in parts or as a whole) with applications that can compete with ActiveBlue 2. Term and Termination The license is granted to the licensee if the license fee is paid in full. The licensee may terminate this Agreement at any time by destroying all copies of ActiveBlue 2. This Agreement will terminate immediately without notice from HPH-Software GmbH if it is discovered that the licensee fails to comply with any provision of this Agreement. Upon such termination, the licensee must destroy all copies of ActiveBlue 2. Redistribution of runtime files Parts of ActiveBlue 2 are the runtime files hph_ab2.ocx and hph_ab2s.exe as well as all other files in the folder "WIN32Redistributables". The licensee is allowed to redistribute unmodified copies of the runtime files, not limited in numbers, with the end-user applications which have been developed by the licensee using ActiveBlue 2 to third parties under the condition that the licensee agrees to the following terms. Distribution of any other part of ActiveBlue 2 (in particular header-files, license files and license keys) is strictly prohibited. By distributing the runtime files you accept to display the copyright notice For parts of the code Copyright 2006 HPH-Software GmbH. All Rights Reserved. in an adequate position either on the product cover or packaging, in the manual, in an info-dialog or the online-help of the end-user application to redistribute the runtime files with. Under the condition that HPH-Software GmbH provides an updated version of ActiveBlue 2 the licensee is granted to distribute the updated runtime files under the terms and conditions of this License Agreement. Disclaimer of Warranty THE SOFTWARE AND ANY RELATED DOCUMENTATION ARE PROVIDED ON A STRICTLY "AS IS" BASIS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OR MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT. THE ENTIRE RISK ARISING OUT OF USE OR PERFORMANCE OF THE SOFTWARE REMAINS WITH YOU. Liability In no event shall HPH-Software GmbH be liable for any damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use the runtime files which you distribute with your end-user applications, even if the company has been advised of the possibility of such damages. Any liability of HPH-Software GmbH will be exclusively limited to replacement of the product or refund of the license fee paid. General This License Agreement includes all terms and conditions. It replaces any other arrangements made before. Any changes and amendments must be agreed in written form. Your order is accepted explicitly under the conditions of the terms and conditions of the License Agreement. Any deviant terms and conditions in your order are not applied. If any provision of this Agreement is invalid or unenforceable under applicable law, it shall not affect the validity or enforceability of the remainder of the terms of this Agreement, and without further action by the parties hereto, such provision shall be reformed to the minimum extent necessary to make such provision valid and enforceable. Should a translation of this agreement be available in any other language than German, only the German version is to be legally binding. The business relationship between the licensee and HPH-Software GmbH is governed by the laws of the Federal Republic of Germany. The application of the UN Law on Sales is ruled out. The place of jurisdiction is Mnchengladbach/Germany.
