ROBOFORM and ROBOFORM2GO SOFTWARE LICENSE AGREEMENT IMPORTANT: YOU SHOULD CAREFULLY READ THIS LEGAL AGREEMENT BEFORE INSTALLING THIS PACKAGE. BY INSTALLING ROBOFORM OR ROBOFORM2GO YOU ACCEPT ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT AND AGREE THAT YOU WILL BE LEGALLY BOUND BY THEM. IF THESE TERMS AND CONDITIONS ARE NOT ACCEPTABLE TO YOU, DO NOT CONTINUE TO INSTALL THIS SOFTWARE. ROBOFORM, ROBOFORM2GO LICENSE TERMS Siber Systems Inc ("Siber") grants you ("Customer") a license to use one or more of these four products: (i) RoboForm Free, (ii) RoboForm Pro, (iii) RoboForm2Go Free, (iv) RoboForm2Go Pro, and their documentation, subject to the separate, applicable provisions below. RoboForm may also be called "AI RoboForm" in RoboForm documentation, web site and the program itself. RoboForm2Go may also be called "RoboForm 2Go" or "Portable RoboForm" in documentation, web site and the program itself. For purposes of the provisions contained below, the term "Customer" shall also apply to Non-Profit Customers as defined below, unless expressly stated otherwise. 1A. LICENSE FOR ROBOFORM FREE RoboForm Free is defined as RoboForm for which Customer did not pay to Siber Systems or a reseller authorized by Siber Systems. Customer may use RoboForm Free during the Trial Period of Thirty (30) days, starting on the date of the first installation of RoboForm on Customer's computer. Customer must purchase RoboForm Pro once the Trial Period ends or uninstall RoboForm. Each Customer is allowed only one trial. EXCEPTION FOR NON-PROFIT CUSTOMERS. Non-Profit Customers (but not other Customers) are allowed to use RoboForm for free after the 30-day Trial Period ends, if Customer has less than 10 Logins (Passcards) in RoboForm. Non-Profit Customer is defined as a customer who uses RoboForm in non-commercial environment for non-profit activity. All Customers who use RoboForm in a business, government, military, or religious institution are not Non-Profit Customers for the purposes of this agreement. Customers that are students of accredited universities and high schools are classified as Non-profit Customers even if a school or university is owned and operated by a government. 1B. LICENSE FOR ROBOFORM2GO FREE RoboForm2Go Free is defined as RoboForm2Go for which you did not pay to Siber Systems or a reseller authorized by Siber Systems. Customer may use RoboForm2Go Free during the Trial Period of Thirty (30) days, starting on the date of the first installation of RoboForm2Go on Customer's Portable Disk. Customer must purchase RoboForm2Go Pro once the Trial Period ends or uninstall RoboForm2Go. Each Customer is allowed only one trial. Portable Disk is defined as USB key, portable hard drive or any disk that can be easily removed from the computer and therefore is considered to be portable or removable per Operating System terminology. EXCEPTION FOR NON-PROFIT CUSTOMERS. Non-Profit Customers (but not other Customers) are allowed to use RoboForm2Go for free after the 30-day Trial Period ends, if Customer has less than 10 Logins (Passcards) in RoboForm2Go. Definition of Non-Profit Customer is the same as for RoboForm Free. 2A. ROBOFORM DESKTOP PRO LICENSE FOR ROBOFORM SOFTWARE RoboForm Desktop Pro license allows customer to use RoboForm Pro on one single computer. If a computer has more than one copy of an Operating System installed then each copy of Operating System shall be considered to be a separate computer for purposes of this License Agreement. If a Customer has more than one computer, Customer shall purchase additional RoboForm Desktop Pro licenses for each computer that Customer installs RoboForm Pro on. This license can be purchased from Siber Systems directly or from a reseller authorized by Siber Systems. Customer shall not use RoboForm Pro for commercial timesharing. Customer shall not rent RoboForm Pro license to other parties. ONLINE ACTIVATION: Customer hereby agrees to Online Activation process for RoboForm Pro in which RoboForm Pro checks the validity of Customer's RoboForm Desktop Pro license by contacting the Siber server via the Internet. Customer also agrees that Online Activation may be used to enforce provision of this Agreement that allows use of one RoboForm Desktop Pro license only on one computer. UPGRADE POLICY: minor fixes and upgrades shall be provided for free to RoboForm Desktop Pro licensee. However, Customer hereby agrees that major releases of RoboForm Desktop Pro may be not free and will require payment. Major release as defined as release where major version number changes. 2B. ROBOFORM2GO PRO LICENSE FOR ROBOFORM2GO SOFTWARE RoboForm2Go Pro license allows customer to use RoboForm2Go Pro on a single Portable Disk only. If a Customer has several Portable Disks, Customer shall purchase additional RoboForm2Go Pro licenses for each Portable Disk that Customer installs RoboForm2Go Pro on. This license can be purchased from Siber Systems directly or from a reseller authorized by Siber Systems. Customer shall not use RoboForm2Go Pro for commercial timesharing. Customer shall not rent RoboForm2Go Pro license to other parties. ONLINE ACTIVATION: Customer hereby agrees to Online Activation process for RoboForm2Go Pro in which RoboForm2Go checks the validity of Customer's RoboForm2Go Pro license by contacting the Siber server via the Internet. Customer also agrees that Online Activation may be used to enforce provision of this Agreement that allows use of one RoboForm2Go Pro license only on one Portable Disk. UPGRADE POLICY: minor fixes and upgrades to RoboForm2Go Pro shall be provided to Customer for free. However, Customer hereby agrees that major releases of RoboForm2Go Pro may be not free and require payment. Major release as defined as release where major version number changes. 2C. ROBOFORM EVERYWHERE LICENSE FOR ROBOFORM SOFTWARE RoboForm Everywhere Pro license allows customer to use RoboForm Pro on up to 9 computers and mobile devices, as long as: - (i) Customer has substantially the same set of RoboForm Data Files on all of these computers and devices, and - (ii) All these computers and devices belong to the same Customer, and - (iii) Customer is physical person and not a company or organization. RoboForm Everywhere Pro License is an annual subscription, so Customer pays an annual RoboForm Everywhere license fee to Siber Systems or a reseller authorized by Siber Systems. Customer shall not use RoboForm Pro for commercial timesharing. Customer shall not rent RoboForm Pro license to other parties. ONLINE ACTIVATION: Customer hereby agrees to Online Activation process for RoboForm Pro in which RoboForm checks the validity of Customer's RoboForm Everywhere Pro license by contacting the Siber server via the Internet. Customer also agrees that Online Activation may be used to enforce licensing provisions of this Agreement. AUTOMATIC RENEWAL: Customer agrees that once RoboForm Everywhere Annual Subscriptiuon Fee is due, Siber shall charge it automatically to Customer's credit card that was stored by Siber in its database from the original purchase of RoboForm Everywhere license. Annual Subscription Fee is charged at the beggining of the annual term for which it is paid. Customer is allowed to terminate Annual Subscription at any time. Such termination shall result in termination of RoboForm Everywhere license for all computers and mobile devices of Customer. If termination has occurred 30 days or less since the last renewal date then the full refund of unused year shall be issued. If termination has occurred after 30 days since the last renewal then no money shall be refunded, but Siber shall not charge the customer's credit card on the next renewal cycle. AUTOMAITC TERMINATION ON NON-PAYMENT: If Annual Subscription fee is not paid on time or if payment of Annual Subscription fee is reversed by any means (including refund, chargeback) then Customer agrees that RoboForm Pro shall lose its Pro status once RoboForm contacts Siber server and finds out that Customer's account is unpaid. Customer also agrees that Siber has a right to delete all Customer's RoboForm Data Files that Siber stores on servers, if Customer's account remains unpaid for more than 30 days. UPGRADE POLICY: minor fixes and major upgrades to RoboForm Pro running on RoboForm Everywhere license shall be provided to Customer for no additional upgrade fee, as long as Customer has paid his/her Annual Subscription fee and is current on payments. 3. COMMON PROVISIONS FOR ROBOFORM AND ROBOFORM2GO PRO ROBOFORM PRO USERS MANAGEMENT SYSTEM: Personal data of customers that purchase RoboForm licenses is stored in RoboForm Pro Users Management System (PUMS). Only the data that customers or their agents enter into the RoboForm Pro purchase web page is stored in the database. Synchronization option of RoboForm also stores data about Customer in RoboForm Everywhere database on Siber servers and it stores a copy of RoboForm User Data (Logins/Passcards, Identities and Safenotes) on RoboForm Everywhere server(s). Customer hereby allows Siber to store this data on Siber servers. This data shall be used for purchase tracking, reactivation of RoboForm and RoboForm2Go Pro licenses, refund and chargeback tracking and other customer service purposes, and for synchronization of RoboForm Data Files. Customer allows Siber to send infrequent product update newsletters and promotional offers to email and postal addresses stored in RoboForm Payment Systems (PUMS). REFUNDS: Siber will refund the full amount paid for RoboForm Pro, RoboForm2Go or RoboForm Everywhere license if: - The refund request is received by Siber within 30 days of the date of purchase of the license by Customer, and - Customer provides Proof of Purchase, which is the original email receipt for RoboForm/RoboForm2Go Pro, and - Siber is able to locate Customer in the Pro Users Database (PUMS) using the data provided by Customer. 4. GENERAL PROVISIONS FOR ROBOFORM / ROBOFORM2GO All provisions in this section apply both to RoboForm Free/Pro, RoboForm2Go Free/Pro and RoboForm Everywhere Free/Pro even if only RoboForm is mentioned. COPYRIGHT/OWNERSHIP OF PROGRAM: RoboForm is the proprietary product of Siber Systems and its licensors and it is protected by copyright, trade secret and other intellectual property laws. Customer acquires only the right to use RoboForm and does not acquire any rights, express or implied, in RoboForm or media containing RoboForm other than those specified in this License. Siber Systems, or its licensor, shall at all times retain all rights, title, interest, including intellectual property rights, in RoboForm and media. Customer shall not remove any product identification, copyright notices, or other notices or proprietary restrictions from RoboForm. Customer shall not cause or permit reverse engineering, disassembly, or decompilation of RoboForm. BROWSER MODIFICATIONS: RoboForm and RoboForm2Go may install toolbar and Browser Helper Object. They are used to fill and save forms in the browsers and to cause browser to perform automated logins. PERSONAL DATA IN ROBOFORM DESKTOP AND 2GO: All data that Customer enters into RoboForm Identities, Passcards and Safenotes is stored only locally on Customer's computer in files with RFT, RFP and RFN extensions. Customer understands that deletion of or damage to RFT, RFP and RFN files will cause irreversible loss of personal information contained in these files and customer accepts the risk of such loss. PERSONAL DATA IN ROBOFORM EVERYWHERE: All data that Customer enters into RoboForm Identities, Passcards and Safenotes is stored locally on Customer Computer or portable disk and on RoboForm Everywhere server. If local copy of user data is lost, Customer may obtain copy of this data from RoboForm Everywhere server. However, availability of backup copy is NOT guaranteed by Siber and Siber shall NOT be held liable, if it cannot produce copy of Customer's RoboForm data. Customer is hereby encouraged to keep multiple copies of RoboForm user data on his/her computers, disks and devices. TRANSMISSION OF PERSONAL DATA IN ROBOFORM EVERYWHERE: RoboForm Everywhere shall transmit Identities, Passcards and Safenotes and any other RoboForm data file over the Internet, for the purposes of storing backup copy of Customer RoboForm data on RoboForm Everywhere server and for purposes of synchronization of said data between Customer computers and mobile devices. Customer hereby authorizes such transmission. RoboForm does NOT send information about sites that you visit or any information about your browsing to any servers. NON-TRANSMISSION OF PERSONAL DATA IN ROBOFORM/ROBOFORM2GO: RoboForm does NOT transmit any data that is contained in Identities, Passcards and Safenotes over the Internet. However, if Customer or a program running on Customer's computer causes RoboForm to fill an online form with such personal data, then submission of this form will result in this data being sent over the Internet but this shall be deemed not to be caused by RoboForm. RoboForm does NOT send information about sites that you visit or any information about your browsing to any servers. TRANSMISSION OF DATA IN AUTOUPDATE: RoboForm checks Siber Systems server www.siber.com for its new version and security patches approximately once a day. If it finds a version that is newer than the version that you have, RoboForm will offer you to upgrade. The checking of new version results in technical data such as operating system and browser version and Registration Data to be transmitted to Siber server and stored on this server. Customer hereby allows such transmissions to occur. Registration Data is defined as Customer name, e-mail address and person/company who referred Customer (referrer) that Customer enters into the Registration Dialogue that appears when Customer runs RoboForm for the first time. The registration data may be different from similar data stored in Customer's Identity. Customer can edit Registration Data by opening "Options", clicking "Version" tab and then clicking "Registration Info" button. Registration Data is not required to be accurate or complete, and it may be not present at all (empty values). Customer allows Siber to send infrequent product update newsletters and promotional offers to email addresses obtained from Registration Data. UNINSTALL INSTRUCTIONS: Customer may uninstall RoboForm Desktop and RoboForm Everywhere at any time by going to Control Panel, clicking Add/Remove Software selecting AI RoboForm or RoboForm and clicking the Remove button. RoboForm2Go may be uninstalled at any time by deleting all files in RoboForm and My RoboForm Data folders from the Portable Disk. NO WARRANTIES OF ANY KIND: ROBOFORM IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. SIBER DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN ROBOFORM WILL MEET YOUR REQUIREMENTS OR OPERATE IN AN ENVIRONMENT CREATED BY YOU OR THAT THE OPERATION OF ROBOFORM WILL BE UNINTERRUPTED OR ERROR FREE OR THAT ROBOFORM ERRORS WILL BE CORRECTED. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF ROBOFORM IS WITH YOU. SIBER FURTHER DOES NOT WARRANT THAT PRIVATE INFORMATION THAT BELONGS TO YOU AND THAT YOU STORE IN ROBOFORM WILL NOT BE STOLEN OR OTHERWISE ACQUIRED BY THIRD PARTIES. LIMITATION OF LIABILITY: NEITHER SIBER SYSTEMS NOR ANY OF ITS LICENSORS SHALL BE LIABLE FOR ANY DAMAGES CAUSED BY ROBOFORM INCLUDING BUT NOT LIMITED TO INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, LOSS OF SAVINGS, REVENUE, DATA, INCURRED BY CUSTOMER OR ANY THIRD PARTY, EVEN IF SIBER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TERMINATION: This License is effective until terminated or upon expiration of the 30-day free trial period where applicable. You may terminate this Agreement at any time by uninstalling RoboForm and deleting all its files. This License will terminate immediately without notice from Siber if you fail to comply with any provision of this License. Upon termination or expiration of this License you must uninstall RoboForm and delete all its files. TRADEMARKS: RoboForm (R), RoboForm Desktop, RoboForm Everywhere, RoboForm Free, RoboForm Pro, RoboForm2Go, RoboForm2Go Free, RoboForm2Go Pro, Passcard, Safenote and Siber Systems are trademarks and/or trade names owned by Siber Systems Inc. ANY UNAUTHORIZED USE OF THESE TRADEMARKS AND/OR TRADE NAMES OR ANY OTHER INTELLECTUAL PROPERTY OWNED BY SIBER OR ITS LICENSORS IS PROHIBITED. GOVERNMENT CUSTOMERS: If you are acquiring RoboForm on behalf of any unit or agency of the United States Government, the following provisions apply. The Government agrees that: (i) if RoboForm is supplied to the Department of Defense (DoD), RoboForm is classified as "Commercial Computer Software" and the Government is acquiring only "restricted rights" in RoboForm and their documentation as that term is defined in Clause 252.227-7013(c)(1) of the DFARS; and (ii) if RoboForm is supplied to any unit or agency of the United States Government other than DoD, the Government's rights in RoboForm and its documentation will be as defined in Clause 52.227-19(c)(2) of the FAR or, in the case of NASA, in Clause 18-52.227-86(d) of the NASA Supplement to the FAR. EXPORT LAW ASSURANCE: Customer shall comply fully with all laws and regulations of the United States and other countries (Export Laws) to assure that neither RoboForm, nor any direct products thereof are Exported, directly or indirectly, in violation of Export Laws, or are used for any purpose prohibited by Export Laws, including, without limitation, nuclear, chemical, or biological weapons proliferation. If RoboForm has been rightfully obtained by you outside of the United States, you agree that you will not re-export RoboForm nor any other technical data received, nor the direct product thereof, except as permitted by the laws and regulations of the United States and the laws and regulations of the jurisdiction in which you obtained RoboForm. JURISDICTION AND DISPUTES: This Agreement shall be governed by the laws of Virginia. All disputes hereunder shall be resolved in the applicable state or federal courts of Virginia. The parties consent to the jurisdiction of such courts, agree to accept service of process by mail, and waive any jurisdictional or venue defenses otherwise available. In any litigation arising out of this Agreement or related to use or function of RoboForm, Siber shall be entitled to all legal costs and attorney's fees incurred in mediation, arbitration, suit and on appeal. SEVERABILITY: If for any reason a court of competent jurisdiction finds any provision of this License or portion thereof, to be unenforceable, that provision of the License shall be enforced to the maximum extent permissible so as to affect the intent of the parties, and the remainder of this License shall continue in full force and effect. COMPLETE AGREEMENT: This License constitutes the entire agreement between the parties with respect to the use of RoboForm and the related documentation, and supersedes all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter. No amendment to or modification of this License will be binding unless in writing and signed by a duly authorized representative of Siber Systems. 5. PRIVACY ROBOFORM WEB SITE: RoboForm web site may use cookies to track users. RoboForm affiliates and advertisers may also use cookies. ROBOFORM PRO PURCHASES: see Section 3 for privacy provisions. PERSONAL DATA IN ROBOFORM: see Section 4 for privacy provisions. CUSTOMER HEREBY ACKNOWLEDGES THAT CUSTOMER HAS READ THIS AGREEMENT, UNDERSTANDS IT AND AGREES TO BE BOUND BY ITS TERMS AND CONDITIONS.
