Astrallis Software License Agreement 1. This is an agreement between Licensor (Astrallis.com) and Licensee (You), who is being licensed to use the named Software. This Software program is licensed, not sold. If you do not agree to the following terms, please uninstall and destroy all copies of the Software. By downloading the Software, the Licensee may use and evaluate the Software for a limited time (evaluation period) under the conditions given below. The Licensee can enable the full functionality of the Software at any time by purchasing a License key. 2. Licensee acknowledges that this is only a limited nonexclusive license. Licensor is and remains the owner of all titles, rights, and interests in the Software. The Licensee agrees not to rent, sell, lend, license or otherwise distribute the Software or the License key to any third party without the prior written consent of the Licensor. 3. This License permits Licensee to install the Software on a single computer system. The Licensee will not make copies of the Software or allow copies of the Software to be made by others. Licensee may make copies of the Software for backup purposes only. The Licensee agrees not to modify, translate, disassemble, de-compile or in any other way create derivative works of the Software. 4. This Software and its associated documentation are provided 'as is', without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose and non-infringement. In no event shall the Licensor be liable for any claim, damages or other liability, whether in an action of contract, tort or otherwise, arising from, out of or in connection with the Software or the use of it by anyone. 5. The evaluation period is 15 days or 90 uses, whichever comes first. In order to use the Software after the evaluation period has ended, Licensee needs to purchase a License key. All License key purchases are final and the Licensor will not issue refunds of any kind. 6. Notwithstanding the foregoing, LICENSOR IS NOT LIABLE TO LICENSEE FOR ANY DAMAGES, INCLUDING COMPENSATORY, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, CONNECTED WITH OR RESULTING FROM THIS LICENSE AGREEMENT OR LICENSEE'S USE OF THIS SOFTWARE. 7. Licensee agrees to defend and indemnify Licensor and hold Licensor harmless from all claims, losses, damages, complaints, or expenses connected with or resulting from Licensee's business operations, including the use of this Software for any purpose. 8. Licensor has the right to terminate this License Agreement and Licensee's right to use this Software upon any material breach by the Licensee. 9. Licensee agrees to return to Licensor or to destroy all copies of the Software upon termination of the License. 10. This License Agreement is the entire and exclusive agreement between Licensor and Licensee regarding this Software. This License Agreement replaces and supersedes all negotiations, dealings, and agreements between Licensor and Licensee regarding this Software. 11. The validity and all aspects whatsoever of this License or of any term of this License will be governed by the laws of Florida, USA. The courts of Florida, USA will have exclusive jurisdiction to settle any disputes which may arise out of or in connection with this Agreement. The parties irrevocably agree to submit to that jurisdiction. This License Agreement is valid without Licensor's signature. It becomes effective upon Licensee's use of the Software.
