Cyberdemics Incorporated (hereafter referred to as "we", "us" or "our") hereby grants you the right to install and use the Collegiate Daily Planner computer program (hereafter referred to as the "product") in accordance with the terms and conditions of this Software License Agreement. By installing the product on any computer, you agree to be bound by the terms of this Software License Agreement. 1. Ownership All title in and copyrights to the product (including but not limited to any images, video, audio, music, photographs, animations, and text incorporated into the product) and any copies of the product are the sole property of Cyberdemics Incorporated. 2. Disclaimer To the maximum extent permitted by applicable law, we disclaim all warranties and conditions, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, with regard to the product, and the provision of or failure to provide support services. This agreement gives you specific legal rights. You may have others, which vary from jurisdiction to jurisdiction. 3. Liability To the maximum extent permitted by applicable law, in no event shall we be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of information, or any other pecuniary loss) arising out of the use of or inability to use the product, or the provision of or failure to provide support services, even if we have been advised of the possibility of such damages. In any case, our entire liability under any provision of this Software License Agreement shall be limited to the amount actually paid by you for the product. 4. Remedies Our entire liability and your exclusive remedy under this Software License Agreement shall be the return of the amount actually paid by you for the product. If we are deemed liable for such remedy or we accept such remedy without cause, the purchase price shall be issued to you in a timely manner and in accordance with common business practices in the United States of America. In such an event, your rights under this Software License Agreement shall terminate. 5. Alterations You may not reverse engineer, decompile, or disassemble the product. You may not merge all or any part of the product into another computer program. You may not distribute a modified copy of the product. 6. Termination This Software License Agreement shall terminate upon the permanent removal of the product from any and all computers on which you have installed the product. Without prejudice to any other rights, we may terminate this Software License Agreement if you fail to comply with any of the terms and conditions of this Software License Agreement. 7. Application This Software License Agreement supersedes any other agreement or discussions, oral or written and may not be changed except by a written signed agreement. This Software License Agreement shall be governed by and construed in accordance with the laws of the State of Florida. If any provision of this Software License Agreement is declared by a Court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be severed from this Software License Agreement and the other provisions shall remain in full force and effect.
