EASY-IP SOFTWARE END USER LICENCE AGREEMENT IMPORTANT - READ CAREFULLY This end user licence agreement ("Agreement") is a legal agreement between you (either an individual or an entity) ("Licensee") and Easy-IP AS. ("Licensor") BY DOWNLOADING AND INSTALLING, COPYING OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, YOU SHOULD NOT DOWNLOAD, INSTALL, COPY OR USE THE SOFTWARE. DEFINITIONS "Documentation" means all user guides, reference manuals, other documentation accompanying Software (as defined below), and all other documentation otherwise made available by Easy-IP AS "Licensee" means the purchaser of the licence rights granted by this Agreement (also referred to as "You") "Licensed Product" means the Software (as defined below) and Documentation and any copies or modifications. "Licensor" means Easy-IP AS. "Software" means the Easy-IP software and its components, for which Licensee has paid the applicable licence fees, if any. SOFTWARE LICENCE Licence. The Software is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The Software is licensed, not sold. Licence Grant. Licensor grants Licensee a non-exclusive, nontransferable licence, to use the object code of the Software for the purpose as set forth in the documentation, in accordance with the licence purchased. When you first obtain a copy of the Software, you are granted an evaluation period of 30 days, after which you must pay the appropriate licence fee, or remove the Software from your system. It is the sole responsibility of the Licensee to satisfy itself that the Software will meet its requirements during the evaluation period, as there is no refund for any purchase of the Software. Permitted Use. You may make copies of the Software solely for backup or archival purposes, as long as all copyright and other notices are reproduced and included on the backup copies. Restrictions. You may not (i) sell, lease, licence, sublicence, distribute or otherwise transfer in whole or in part the Software or the Software Licence Key to another party; (ii) provide, disclose, divulge or make available to, or permit use of the Software in whole or in part by, any third party without Licensor's prior written consent; or (iii) modify or create derivative works based upon the Software. Limitations. You may not decompile, disassemble, reverse engineer, or otherwise attempt to derive source code from the Software, in whole or in part, nor permit whether directly or indirectly any third party to do so. Title. You may not remove any titles, trademarks or trade names, copyright notices, legends, or other proprietary markings on the Software. TERMINATION Termination. This agreement shall terminate automatically upon breach of any terms and conditions of this agreement. Effect of Termination. In the event of termination, you must destroy all copies of the Software and Software Licence Key. In addition, you must remove all copies of the Software, including all backup copies, from the Server and all computers on which it is installed. Survival of Rights after Termination. All provisions of this Agreement relating to disclaimers of warranties, limitation of liability, remedies, or damages, and Licensor?s proprietary rights shall survive termination. OWNERSHIP AND COYPRIGHT. Ownership. The Software is owned and copyrighted by the Licensor. Your license confers no title or ownership in the Software and should not be construed as a sale of any right in the Software. Copyright. The Software is protected by international copyright law and treaty provisions. You acknowledge that no title to the intellectual property in the Software is transferred to you. You further acknowledge that title and full ownership rights to the Software will remain the exclusive property of the Licensor and you will not acquire any rights to the Software except as expressly set forth in this licence. You agree that any copies of the Software will contain the same proprietary notices including any notice of copyright, trademark, logo, legend or other notice of ownership, that appear on and in the original copy of the Software. INTELLECTUAL PROPERTY RIGHTS. Intellectual Property Rights. Licensor retains all right, title, and interest in and to the Software and in all related copyrights, trade secrets, patents, trademarks, and any other intellectual property rights. Claims. The Licensee will notify the Licensor of any claim which may be made against the Licensor, or any related company or the Licensee alleging that the Software infringes the Intellectual Property Rights of a third party as soon as it becomes aware of any such actual or potential claim. Infringement. The Licensee shall immediately bring to the attention of the Licensor any infringement or suspected infringement by any third party of any of the Intellectual Property Rights in the Software of which it is aware and shall at the request and expense of the Licensor take such action or assist the Licensor in taking such action as the Licensor may deem appropriate to protect its Intellectual Property Rights. Confidentiality. The Licensee acknowledges that the ideas and expressions contained in the Software (and any modifications thereof or updates thereto provided to the Licensee by the Licensor) and any particulars thereof provided to the Licensee by the Licensor are confidential and the Licensee undertakes not to divulge such information to a third party and only to divulge such information to its associated companies, agents and employees as is strictly necessary to enable it to be used in accordance with and for the purposes hereof and the Licensee undertakes to ensure that such entities maintain such confidentiality. The obligations of this clause shall survive termination or cancellation of this Agreement. LIMITED WARRANTY, DISCLAIMER, AND LIMITATION OF LIABILITY Limited Warranty. Licensor does not warrant that the Software will meet Licensee?s requirements or that the operation of the Software will be uninterrupted or error?free. Licensor is not responsible for problems caused by changes in the operating characteristics of computer hardware or computer operating systems which are made after the release of the software or for problems in the interaction of the Software with other software. Disclaimer. THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NONINFRINGEMENT OF THIRD PARTY RIGHTS. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE IS WITH THE LICENSEE. Limitation of Liability. In no event shall Licensor be liable for any consequential, special, incidental or indirect damages of any kind arising out of the delivery, performance or use of the Software, including, without limitation, any loss of data, profits, or savings, even if Licensor has been advised of the possibility of such damages, or for any claim by any third party. In no event will Licensor's liability for any claim, whether in contract, tort, negligence, or any other theory of liability, exceed the licence fee paid by You, if any. GENERAL PROVISIONS Assignment. The Licensee shall not, without the prior written consent of the Licensor, assign, lease, charge, sub-licence, or otherwise transfer rights and obligations of this Agreement in whole or in part. Governing Law. This Agreement shall be governed by and interpreted under the laws of England, and the parties submit to the exclusive jurisdiction of the Courts of England and Wales. Waiver. No failure of either party to exercise or enforce any of its rights under this Agreement will act as a waiver of those rights. Severability. If any provision of this Agreement is held to be invalid, illegal or unenforceable, such provision will be severed and the remainder of the Agreement will remain in full force and effect. Modifications. This Agreement may not be modified or amended, except by a written addendum which references this Agreement and is signed by a duly authorized representative of each party. Entire Agreement. This Agreement is the final, and exclusive agreement between Licensee and Licensor, and supersedes any prior agreement or understanding, whether written or oral, relating to the subject matter of this agreement.
