SOFTKRYPT, LLC LICENSE AND SERVICE AGREEMENT Last Updated: July 8, 2012 Acceptance of Terms This License and Service Agreement (“Agreement”) is a binding legal agreement between you and Advanced Cryptographic Methods/Engineering, Inc., doing business as Softkrypt, LLC (“Softkrypt,” “we,” and “our”), regarding your use of the document encryption software and services made available by Softkrypt (the software and services together, the “Service”). By using the Service, you agree to be bound by this Agreement and to use the Service in compliance with this Agreement. BEFORE YOU CLICK ON THE “I Accept the terms of the license agreement” OPTION, CAREFULLY READ THE TERMS OF THIS AGREEMENT. IF YOU ARE REGISTERING FOR A SOFTKRYPT ACCOUNT ON BEHALF OF A COMPANY OR ORGANIZATION, BY CLICKING ON THE “I Accept the terms of the license agreement” OPTION, YOU REPRESENT AND WARRANT THAT YOU HAVE THE LEGAL AUTHORITY TO ENTER INTO THIS AGREEMENT ON BEHALF OF, AND ARE HEREBY ENTERING INTO THIS AGREEMENT ON BEHALF OF, THAT COMPANY OR ORGANIZATION. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT CREATE AN ACCOUNT, DOWNLOAD OR INSTALL ANY SOFTKRYPT SOFTWARE, OR OTHERWISE USE THE SERVICE. The terms “you,” “your,” and “yours” refer to you, the individual user or entity using the Service. Service Description The EasyKrypt Service allows you to encrypt and decrypt the files on any computer to which you are signed in. Eligibility and Account Registration You must register for an account to download and install Softkrypt software and otherwise use the Service. When registering, you must provide accurate and complete information about yourself, including a verified email address, and promptly update this information if it changes or is no longer current, accurate and complete. If you are registering for an account as the account administrator on behalf of your company or organization, you may also create accounts for other users and invite those users to activate these accounts. All of those users must also agree to be bound by the terms of this Agreement before using the Service. You may not register for an account if your Service privileges were previously terminated by Softkrypt. You are solely responsible for maintaining the confidentiality of account and password information and for all activities that occur through your account. To protect your account from unauthorized use, keep your user identification and password secure. Please notify Softkrypt immediately of any unauthorized use of your account or any other breach of security. Fees and Payment Softkrypt offers free and subscription fee-based versions of the Service. Softkrypt reserves the right to change fees at any time. When you purchase a subscription, Softkrypt will charge you, and you agree to pay, the then-current fees for the subscription selected by you plus all applicable taxes. You must provide accurate and complete credit card information for a valid credit card that you are authorized to use, and you authorize Softkrypt or its agent to bill your credit card the applicable subscription fee and all applicable taxes. If Softkrypt does not receive payment from your credit card provider or if your credit card is rejected, you agree to pay all amounts due upon demand. Softkrypt reserves the right to take all steps necessary to collect amounts due from you, including but not limited to using third party collection agencies. Softkrypt reserves the right to correct any errors or mistakes that we make even if we have already requested or received payment, and to determine whether your credit card is pre-authorized to accept a minimum charge equal to the applicable subscription fee and applicable taxes. You are solely responsible for any and all fees charged to your credit card by the issuer, bank, or financial institution including, but not limited to, membership, overdraft, insufficient funds, and over the credit limit fees. Cancellation; No Refunds You, or your account administrator on your behalf, may cancel your subscription or other access to the Service at any time by contacting customer service by e-mail at [email protected] We will terminate your account within a reasonable amount of time of receipt of your cancellation request. Unless Softkrypt terminates your subscription for Softkrypt's convenience, WE DO NOT PROVIDE REFUNDS FOR ANY PARTIAL TERM. If Softkrypt terminates your subscription for convenience, Softkrypt will provide a pro rata refund of pre-paid subscription fees. License Softkrypt grants to you, subject to the terms of this Agreement, a limited, non-exclusive, non-transferable, license to: (a) use the free version of the Service solely for personal, non-business use; [and] (b) use a subscription version of the Service in a manner consistent with its design and documentation. In each case, use of the Service is limited to one user per account. These limited licenses does not include any right to modify, copy, distribute, prepare derivative works of, or grant sublicenses to use any portion of the Service. Third Party Software The software provided as part of the Service may contain third party software that is covered by different license terms (“Third Party Software”). The notices, license terms, and disclaimers applicable to Third Party Software are available at www.easykrypt.com/thirdparty. This Agreement does not apply to any Third Party Software. Ownership Except for the express license granted to you in this Agreement, Softkrypt retains all right, title, and interest in and to the Service, including all related intellectual property rights. The Service is protected by applicable intellectual property laws, including United States patent and copyright laws and international treaties. Requirements and Restrictions EasyKrypt may be distributed to any country except those countries designated in Country Group E by the US Dept of Commerce. You must comply with all applicable laws and regulations when using the Service, including the United States Export Administration Regulations. It is your sole responsibility to ensure that you have the right to download the Softkrypt software and use all features of the Service in your jurisdiction. Except as may be expressly permitted by applicable law or authorized by Softkrypt in writing, you will not, and will not permit anyone else to: (a) decompile, disassemble, or reverse engineer any portion of the Service; (b) rent, lease, sublicense, or provide your access to the Service to another person; (c) circumvent or disable any digital rights management, usage rules, or other security features of any portion of the Service; (d) use the Service in a manner that threatens the integrity, performance, or availability of the Service; or (e) destroy, remove, alter, or obscure any proprietary markings or notices (including copyright, trade secret, trademark, and patent notices) on or contained in any portion of the Service. Automatic Features of the Service The Softkrypt software automatically connects to the Internet, when available, to enable encryption and decryption of documents and to check for mandatory and optional software updates. Your computer must be connected to the Internet in order to encrypt or decrypt a document using the Service. Softkrypt does not provide you with equipment or services to use the software or access the Service. You are responsible for all fees charged by third parties to access the Service (e.g., charges by ISPs). The Service may contain a feature that is used to automatically disable operation of certain features to ensure that you do not exceed the scope of your license to use the Service, including if you exceed the number of licensed users per account. You acknowledge that if you exceed the scope of your license to use the Service, the Service may cease to function in some or all respects, and you may lose access to data made with the Service. You acknowledge that the disabling of the Service is a key feature of the license rights and responsibilities conveyed under this Agreement. Feedback Any materials, including comments, suggestions, ideas or other information, provided by you in the form of email or other submissions to us (excluding material that you encrypt or decrypt using the Service) (collectively “Feedback”), are non-confidential and you hereby grant to us a perpetual and irrevocable license to use your Feedback in any manner and for any purpose without compensation or attribution to you. Term and Termination Your account and this Agreement remain in effect unless terminated as provided by this Agreement. You, or your account administrator on your behalf, may cancel your account and this Agreement at any time by emailing us at [email protected]. We will terminate your account within a reasonable amount of time of receipt of your cancellation request. Termination of your account is your sole right and remedy with respect to any dispute with us regarding the Service or this Agreement. We may suspend or terminate your subscription or your account at any time for any reason or for no reason by providing you with notice in any reasonable manner, including via email and via notices posted on the applicable Service. Your rights under this Agreement will terminate automatically if you breach any part of this Agreement. When your subscription expires, all subscription-based functionality is disabled but you will retain free decryption functionality. Upon termination of your account, you must destroy or delete all copies of any Software obtained from Softkrypt that is in your possession. You will remain liable for all obligations related to your account and subscription even after your account or subscription is terminated, whether by you or Softkrypt. Softkrypt is not liable for any loss of documents, data, or any other information related to any expiration of your subscription or closure of your account. Disclaimer of Warranties YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. SOFTKRYPT EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SOFTKRYPT DOES NOT GUARANTEE THE ACCURACY, COMPLETENESS, AVAILABILITY, QUALITY, SECURITY, OR USEFULNESS OF THE SERVICE, AND YOU RELY ON THE SERVICE AT YOUR OWN RISK. ANY MATERIAL TRANSMITTED THROUGH USE OF THE SERVICE IS DONE AT YOUR OWN DISCRETION AND RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE OR LOSS OF DATA THAT RESULTS FROM THE TRANSMISSION OF ANY MATERIAL THROUGH USE OF THE SERVICE. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM SOFTKRYPT OR THROUGH OR FROM THE SERVICE WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THIS AGREEMENT. SOME STATES MAY PROHIBIT A DISCLAIMER OF WARRANTIES AND YOU MAY HAVE OTHER RIGHTS THAT VARY FROM STATE TO STATE. Limitation of Liability NEITHER SOFTKRYPT NOR OUR LICENSORS OR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF SOFTKRYPT HAS BEEN ADVISED OF THE POSSIBILITY OF THESE DAMAGES), RESULTING FROM YOUR USE OF THE SERVICE OR THIS AGREEMENT. UNDER NO CIRCUMSTANCES WILL SOFTKRYPT'S OR OUR LICENSORS' OR SUPPLIERS' TOTAL LIABILITY OF ALL KINDS ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SERVICE (INCLUDING BUT NOT LIMITED TO WARRANTY CLAIMS), REGARDLESS OF THE FORUM AND REGARDLESS OF WHETHER ANY ACTION OR CLAIM IS BASED ON CONTRACT, TORT, OR OTHERWISE, EXCEED THE GREATER OF THE TOTAL AMOUNT PAID BY YOU TO SOFTKRYPT FOR THE SERVICE OR $25. THE LIMITATIONS SET FORTH IN THIS AGREEMENT APPLY EVEN IF ANY LIMITED REMEDY UNDER THIS AGREEMENT FAILS OF ITS ESSENTIAL PURPOSE. BECAUSE SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION ON CONSEQUENTIAL OR INCIDENTAL DAMAGES MAY NOT APPLY TO YOU. Indemnity You will indemnify and hold Softkrypt, and our subsidiaries, affiliates, officers, directors, agents, and employees, harmless from any costs, damages, expenses, and liability caused by your use of the Service, your violation of this Agreement, or your violation of any right of a third party through use of the Service. Softkrypt reserves the right, at its own expense, to assume the exclusive defense and control of any matter for which you are required to indemnify Softkrypt, and you agree to cooperate with SoftKrypt's defense of those claims. Privacy Policy Softkrypt may collect registration and other information about you through the Service. Softkrypt's collection and use of this information is governed by the Privacy Policy available at , which is incorporated into this Agreement by reference. Force Majeure Softkrypt will not be liable to you for any delay or failure to perform any obligation under this Agreement if the delay or failure is due to circumstances beyond Softkrypt's reasonable control. Consumer End Users Located Outside of the USA The limitations or exclusions of warranties and liability contained in this Agreement do not affect or prejudice the statutory rights of a consumer (i.e., a person acquiring goods otherwise than in the course of a business). The limitations or exclusions of warranties, remedies or liability contained in this Agreement will apply to you only to the extent the limitations or exclusions are permitted under the laws of the jurisdiction where you are located. General Legal Notices This Agreement is the complete agreement between you and Softkrypt regarding your use of the Service. If any portion of this Agreement is held to be invalid or unenforceable, the remaining portions will remain in full force and effect. You may not assign this Agreement, including by change of control or operation of law, without Softkrypt's prior written consent. Softkrypt may assign this Agreement without restriction. Softkrypt may at any time change any aspect of the Service and may limit or discontinue, temporarily or permanently, all or a part of the Service without notice. By using the Service, you consent to receiving electronic communications from Softkrypt. These communications will include notices and information concerning or related to the Service. You agree that any notice, agreements, disclosure, or other communications that Softkrypt sends to you electronically will satisfy any legal communication requirements, including that such communications be in writing. This Agreement is governed by the laws of the State of Arizona, excluding conflicts of law principles. You consent to the exclusive jurisdiction of the state and federal courts located in Prescott, Arizona. Statute of Limitations You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or this Agreement must be filed within one year after that claim or cause of action arose.
