Freeware terms and conditions : VisualPaseo community edition You cannot download, install or use this software free of charge until you accept all the terms and conditions herein Article 1 - Application of the Software License Terms and Conditions No special terms and conditions may prevail over the Software License Terms and Conditions without formal written agreement from Paseosoft. In the absence of such explicit agreement, the User may not enforce any contradictory conditions against Paseosoft, irrespective of when they were brought to Paseosoft's attention. Failure by Paseosoft to invoke one or more of the Software License Terms and Conditions shall not be interpreted as a waiver of such terms and conditions. Article 2 – Rights Paseosoft grants the User a free, non-assignable, non-transferable and non-exclusive right to use the software in the form of object code for their own needs. The User may download the software without restriction. The User may modify the software for their own requirements only. However, the User is prohibited from: • Accessing the source code • Modifying the source code • Duplicating the software • Extracting components from the software • Redistributing the software • Incorporating other software • Claiming the benefit of a warranty or maintenance agreement Users wishing to modify the software for commercial purposes shall obtain prior written permission from Paseosoft. An agreement governing the terms and conditions of such commercialization shall then be concluded between the parties. Article 3 – Software Installation The User is responsible for installing the software in accordance with the user manual available on the Internet site at www.paseosoft.com. Programs are supplied on computer-readable and executable media, with accompanying documentation describing the programs' characteristics and features, together with security and operating instructions. Article 4 - Price The right to use the software is granted free of charge. Article 5 - Industrial and Intellectual Property The User may not claim ownership of the trademarks, software, copyright or information and may not under any circumstances use them other than in accordance with the terms and conditions specified herein. The software may be copied only to the extent permitted by French law. All copies shall bear the trademark of and reference to the rights of Paseosoft. Any action by the User that exceeds the scope of this license will be treated as counterfeiting and considered legitimate grounds for legal action by Paseosoft. The User shall keep all ownership and copyright information in good condition and include it on all of the software's constituent elements (i.e. programs and documentation). If the User is aware of any counterfeiting or activity liable to be interpreted as such, carried out by a third party, the User shall inform Paseosoft, which will decide on an appropriate course of action. The User agrees not to infringe, whether directly or through third parties with which it is associated, the rights of Paseosoft or any moral or patrimonial rights. The User agrees not to provide the software and its documentation to third parties, either directly or indirectly, in any form and for any reason. Article 6 – Warranty and Liability The software is provided "as is" without warranty of any kind, other than an undertaking by Paseosoft not to include any spyware, adware or malware. Paseosoft does not make any warranties that the software's components or operation will be uninterrupted or error-free. Under no circumstances shall Paseosoft be held liable for direct or indirect damage arising out of the downloading or subsequent use of software from its site. The User agrees to abide by the software's terms of use (user manual) and take the customary Internet security precautions. Specifically, the User is hereby informed that downloading software from the internet involves certain inherent risks (loss of data, viruses, etc.) for which Paseosoft declines all liability. The User shall give due consideration to the potential risks before downloading. In particular, the User should back up their data before downloading software. Note that this information is provided for guidance only, and should not be construed as an exhaustive list of warnings. Article 7 - Obligations of the User The User is responsible for taking the necessary steps to enable satisfactory use of the software, in particular during the delicate startup period. Use of the software is dependent on the use of other software. The User agrees to comply fully with the license requirements of all third-party software. The software supplied by Paseosoft does not confer any direct or indirect rights in relation to third-party software. a) The User agrees to only use the software for their own needs, and exclusively for the purposes described in the user manual. b) The User may not reproduce any part of the software in any form whatsoever, other than to make a backup or archive copy in accordance with copyright regulations. The User agrees not to change or remove any trademarks or text on the software indicating the name of the software's owner or distributor. They shall include such trademarks or text on any total or partial reproductions of the software's content and media. c) The User is responsible for ensuring proper use of the software. Article 8. - Backups By law, no more than one additional copy of the software may be made per user, and such copies shall be used for backup purposes only. Article 9. - References Paseosoft reserves the right to include the User's name in its list of customer references, unless the User expressly refuses to be included in writing. Article 10 - Jurisdiction and Applicable Law Any disputes arising out of the use of the software shall be settled in accordance with French law, before the competent French courts.
