This is a legal agreement made by and between NetQin Mobile Inc. located at 11 Heping Li East Street, Dongcheng District, Beijing, China 100013 , and you (as an individual, company, or legal entity who wishes to utilize NetQin Software- the "Licensee"). This is a legal and enforceable contract that shall set forth all terms and conditions required to use NetQin Software. NetQin has developed and holds certain patents and other proprietary intellectual property rights that are protected by copy right law. PLEASE READ THROUGH THIS INFORMATION CAREFULLY. By clicking ACCEPT, AGREE, YES, or by other means of electronic consent, you indicate that you have read, understood and agree with the following terms and conditions set forth in this Agreement. If you do not agree to these terms and conditions, you are not granted any rights to access or use NetQin Software. I. LICENSE In accordance with the terms herein, NetQin grants you a limited, non-exclusive, non-transferable license to electronically access and use the NetQin Software. This license governs any releases, revisions, or enhancements to NetQin Software that NetQin shall provide to you. Any modifications are only made valid by an applicable NetQin license certificate, license coupon, or license key (each a license Module), which accompanies, precedes, or follows this license. This is further defined in the user documentation accompanying the NetQin Software. Your rights and obligations with respect to the use of this NetQin Software are as follows. II. LICENSE GRANTS AND RESTRICTIONS A. Licensee shall: i.) Use each NetQin Software copy indicated in the License Module, on up to two computers and a single device as set forth in the documentation. If the NetQin Software is part of a suite containing multiple NetQin Software titles, the number of copies you may use may not exceed the aggregate number of copies indicated in the License Module, as calculated by any combination of licensed NetQin Software titles. Your License Module shall constitute proof of your right to make such copies. If no License Module accompanies, precedes, or follows this license, you are authorized to make one copy of the NetQin Software. ii.) Make one copy of the NetQin Software for archival purposes, or copy the NetQin Software onto the hard disk of your computer and retain the original for archival purposes; iii.) Use the NetQin Software on a network, provided that you have a licensed copy of the NetQin Software for each computer that can access the NetQin Software over that network; iv.) Use the NetQin Software in accordance with any written agreement between you and NetQin; v.) Provide written consent from NetQin to transfer the NetQin Software on a permanent basis to another person or entity, provided that you retain no copies of the NetQin Software and the transferee agrees in writing to the terms of this license. B. Licensee shall not: i.) Copy the printed documentation that accompanies the NetQin Software; ii.) Use each licensed copy of NetQin Software on more than two computers, or for more than a single device without purchasing additional licenses; iii.) Sublicense, rent, or lease any portion of the NetQin Software; reverse engineer, decompile, disassemble, modify, translate, make any attempt to discover the source code of the NetQin Software, or create derivative works from the NetQin Software; iv.) Use the NetQin Software as part of a facility management, timesharing, service provider, or service bureau arrangement; v.) Use a previous version or copy of the NetQin Software after you have received and installed a disk replacement set or upgraded version. Upon upgrading the NetQin Software, all copies of the prior version must be destroyed; vi.) Use a later version of the NetQin Software than is provided herewith unless you have purchased corresponding maintenance and/or upgrade insurance or have otherwise separately acquired the right to use such later version. vii.) Use NetQin Software if you received the NetQin Software distributed on media containing multiple NetQin products, any Symantec NetQin Software on the media for which you have not received permission in a License Module; viii.) Use the NetQin Software in any manner not authorized by this license. III. PRICE AND PAYMENT Licensee shall make payment to NetQin for the NetQin Software license according to the fees and payment terms defined in user documentation. IV. NETQIN SOFTWARE OWNERSHIP NetQin represents that it has all rights required to license the NetQin Software and all portions thereof and to grant Licensee the license. V. END USER SUPPORT NetQin may provide you with NetQin Software maintenance, consulting services, and technical support, according to and defined through other agreements. VI. CONTRACT VIOLATIONS Violation of any provision defined within this agreement shall be subject to appropriate legal action.
