END-USER LICENSE AGREEMENT FOR Power Sayings SOFTWARE This is a legal document. Please read this document carefully before continuing with this software install. This license provides important information concerning the Software, provides you with a license to use the Software and contains warranty and liability information. By using the Software, you are accepting it “as is” and agreeing to be bound by the terms of this license agreement. If you do not wish to be legally bound by this agreement, do not install or use the Software. 1. Definitions Licensor – Max Pidkova. Licensor’s web site – www.powersayings.com. Licensee – the individual or legal entity who has obtained a valid license key for the software. License Key – a unique key-code that enables a single authorized user to use the software. Only the licensor and/or its representatives are permitted to produce license keys for the software. Authorized User – a) if Licensee is an individual, solely Licensee; b) if Licensee is a legal entity, any employee, independent contractor and other temporary worker authorized by Licensee to use the Software while performing duties within the scope of their employment or assignment. Software – the software program known as Power Sayings, including its documentation, any third party software programs that are owned and licensed by parties other than Licensor and that are either integrated with or made part of Power Sayings (collectively, "Third Party Software"). 2. Terms of License This Software is distributed as try before you buy. This means that you may use all the features of the Software during its trial period for free. Upon expiration of the trial period, the Software will continue to operate with reduced functionality. The duration of the trial period is as marketed by Licensor, indicated during installation, specified in the Software documentation, or displayed on the Software user interface. If you wish to use all the features of the Software you must purchase a License Key. Your License Key allows you to: a) Use the Software on a single computer and single user account; b) Make one (1) copy of the Software for back‑up purposes. If you wish to use the Software on more than one computer or more than one Windows® user account, you must purchase another License Key for each computer/account on which you want to use the Software. 3. Restrictions on Use You may not distribute registered copies of the Software or License Keys to third parties. Trial versions available for download from Licensor’s web site may be freely distributed. You may not reverse engineer, decompile, disassemble, include in other software, or translate the Software, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation. You may not modify, alter, change or otherwise make any modification to the Software or create derivative works based upon the Software. You may not rent, lease, lend, resell, sublicense, or assign the Software. 4. Copyright All title, including but not limited to copyrights, in and to the Software and any copies thereof are owned by Licensor or its suppliers. All title and intellectual property rights in and to the content which may be accessed through use of the Software is the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties. This license grants you no rights to use such content. All rights not expressly granted in this license, including domestic and international copyrights, are reserved by Licensor. Software logos, product names, manuals, documentation, and other support materials are either patented, copyrighted, trademarked, constitute valuable trade secrets (whether or not any portion of them may be copyrighted or patented) or are otherwise proprietary to Licensor. You must not remove or obscure the Licensor’s copyright, trademark or other proprietary notices from any of the materials contained in this package or downloaded together with the Software. 5. Disclaimer of Warranties and Technical Support Licensor expressly disclaims any warranty for the Software. The Software is provided “as is” without any express or implied warranty of any kind, including but not limited to any warranties of merchantability, non-infringement, or fitness of a particular purpose. Licensor does not warrant or assume responsibility for the accuracy or completeness of any information, text, graphics, links or other items contained within the Software. Licensor makes no warranties respecting any harm that may be caused by the transmission of a computer virus, worm, time bomb, logic bomb, or other such computer program. Term and Termination This license agreement is effective until terminated. You may terminate this license agreement at any other time by destroying all complete and partial copies of the Software in your possession. Upon such termination, you must cease all use of the Software, delete the Software and destroy all copies of the Software and other materials related to the Software in your possession or under your control. 8. Third Party Software License Third Party Software is licensed to the Licensee in accordance with a separate license agreement(s) included with the Software, and subject to any restrictions set forth herein. The Licensee agrees to abide by the terms and conditions of the Third Party Software license agreements. The Licensor will have no responsibility with respect to any Third Party Software, and the Licensee will look solely to the licensor(s) of the Third Party Software for any remedy. Licensor claims no right in the Third Party Software, and the same is owned exclusively by the licensor(s) of the Third Party Software. Licensor provides no warranty, express or implied, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, with respect to any Third Party Software.
