SECUDRIVE DEVICE CONTROL BASIC SOFTWARE LICENSE AGREEMENT This Software License Terms define the legal conditions on the SECUDRIVE DEVICE CONTROL BASIC software product between Brainzsquare Co.,Ltd.(hereinafter referred to as "Brainzsquare) and you(customer). SECUDRIVE DEVICE CONTROL BASIC is defined as the product which includes programs contained in the PC where SECUDRIVE DEVICE CONTROL BASIC is installed, other programs recorded in media and other software and documents altogether. SECUDRIVE is the proprietary product of Brainzsquare and it is protected by copyright, trade secret and other intellectual property laws. You acquire only the right to use SECUDRIVE DEVICE CONTROL BASIC. BY INSTALLING SECUDRIVE YOU ACCEPT ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT AND AGREE THAT YOU WILL BE LEGALLY BOUND BY THEM. IF THESE TERMS AND CONDITIONS ARE NOT ACCEPTABLE TO YOU, DO NOT CONTINUE TO INSTALL THIS SOFTWARE. 1. LICENSE FOR SECUDRIVE TRIAL VERSION SECUDRIVE TRIAL VERSION is defined as SECUDRIVE for which Customer did not pay to Brainzsquare or a distributor authorized by Brainzsquare. Customer may use SECUDRIVE during the Trial Period of Thirty (30) days, starting on the date of the first installation of SECUDRIVE on Customer's computer. Customer must purchase SECUDRIVE PAID-FOR VERSION once the Trial Period ends or uninstall SECUDRIVE. Each Customer is allowed only one trial. 2. LICENSE FOR SECUDRIVE PAID-FOR VERSION SECUDRIVE PAID-FOR VERSION is defined as SECUDRIVE for which Customer did pay to Brainzsquare or a distributor authorized by Brainzsquare. Customer may install and use SECUDRIVE on Customer's computer during the designated period with the designated number of licenses. To use SECUDRIVE, authentication by an online license key or by an exclusive USB license key is a must. For the installation and use of SECUDRIVE, Brainzsquare provides a license and related materials. Customer will not execute this product concurrently on multiple PCs which exceed the number of licenses. Customer may not copy, install or use parts of the product on multiple PCs which exceed the number of licenses. 3. ONLINE LICENSE KEY AUTHORIZATION Online license key authorization is defined as confirming the connection between a designated license key and the hardware, where SECUDRIVE DEVICE CONTROL Basic has been installed, by the internet. The number of authorization process is permitted by the number of license key in possession. The license key cannot be used in multiple computers and cannot be re-registered in the same computer when hardware configuration is modified. 4. EXCLUSIVE USB LICENSE KEY AUTHORIZATION Exclusive USB license key authorization is defined as confirming the connection between a designated license key and the hardware, where SECUDRIVE DEVICE CONTROL BASIC has been installed, by the exclusive USB drive. The number of authorization process is permitted by the number of license key in possession. The license key cannot be used in multiple computers and cannot be re-registered in the same computer when hardware configuration is modified. 5. RESTRICTIONS Customer may not use SECUDRIVE DEVICE CONTROL BASIC against this license agreement. Customer will not reverse engineer, disassemble, decompile or modify the whole product or some parts of it to create a secondary product. Customer will not upload or transfer SECUDRIVE DEVICE CONTROL BASIC over the network. SECUDRIVE DEVICE CONTROL BASIC and digital data installed together with it is designed and provided to Customer as a single product to be used as a single product on computers. According to copyright regulations, Customer may not copy, distribute and modify SECUDRIVE DEVICE CONTROL BASIC. 6. LIMITATION OF LIABILITY BRAINZSQUARE SHALL NOT BE LIABLE FOR ANY ACCOMPANYING, SPECIFIC OR INDIRECT DAMAGES CAUSED BY SECUDRIVE EXCEPT DESCRIBED IN THIS AGREEMENT. BRAINZSQUARE SHALL NOT BE LIABLE FOR ANY DAMAGES CAUSED BY SECUDRIVE INCLUDING BUT NOT LIMITED TO INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, OR DAMAGES BY THE HARDWARE DEFECT OR BY YOUR NEGLIGENCE, OR DAMAGES FOR LOSS OF PROFITS, LOSS OF SAVINGS, REVENUE, DATA, INCURRED BY YOU OR ANY THIRD PARTY, EVEN IF BRAINZSQUARE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 7. JURISDICTION AND DISPUTES This Agreement shall be governed by the laws of the Republic of KOREA. Seoul Central District Court has exclusive jurisdiction over all disputes, controversies or disagreements which may arise between the parties in relation to this Agreement.
