SenderOK Microsoft Outlook add-in/SenderOK browser extensions Agreement This End User License Agreement ("Agreement") is a binding legal agreement between you, as an individual or entity, and Web CEO Ltd. ("Web CEO"). By clicking the "Accept" checkbox in the installer, downloading, installing, or using the SenderOK Microsoft Outlook add-in and SenderOK browser extensions (the "Software"), you agree to be bound by the terms of this Agreement. If you do not agree to the Agreement, do not check the "Accept" box and do not use the Software. You agree that installation or use of the Software signifies that you have read, understood, and agreed to be bound by the Agreement. If you choose to access www.senderok.com (the "Website") or use other Web CEO online services (collectively the "Web CEO Service") you further agree to be bound by the SenderOK Terms of Use and Privacy Policy. The Software is provided to you under this Agreement for your private, non-commercial use only. This means that you may use it at work or at home, for the purpose of screening your incoming emails for all email accounts in use. If you have comments on SenderOK Microsoft Outlook add-in/SenderOK browser extensions or ideas on how to improve them, please email [email protected]. Please note that by doing so, you also grant Web CEO permission to use and incorporate your ideas or comments into SenderOK Microsoft Outlook add-in/SenderOK browser extensions without further compensation. 1. Description of Software The software is a downloadable software package for use with Microsoft Outlook/Internet Explorer and Mozilla Firefox. The Software enables the intelligent email triage of your incoming emails and provides additional information about the sender. You may use the Software whether or not you use the Web CEO Service. 2. Software License Web CEO hereby grants you, subject to the terms and conditions of this Agreement, a non-exclusive, non-transferable personal license to: Use the Software for your personal and professional use; Install the Software on computer(s) you use at your place of work, at your home or anywhere you need it on condition that your computer user account is password protected; Make copies of the SenderOK Microsoft Outlook add-in/SenderOK browser extensions; Distribute such copies to others within your employers organization or sphere of communication provided that any such recipient has had an opportunity to review and agree to be bound by these terms and conditions; If others within your organization or sphere of communication do not have this opportunity to review and agree and you would still like to distribute copies to them, you may do so provided that you have the legal right to bind your organization (and others within your organization) to these terms and conditions. If you do not have this right and the recipients do not have an opportunity to review and agree to these terms and conditions, please do not distribute the Software to them. Title Title, ownership, rights, and intellectual property rights in and to the Software shall remain with Web CEO. 4. Restrictions You understand and agree that you shall only use the Software in a manner that complies with any and all applicable laws in the jurisdictions in which you use the Software. Your use shall be in accordance with applicable restrictions concerning privacy and intellectual property rights. You may not: Create derivative works based on the Software; Reproduce the Software except as described in this Agreement; Sell, assign, license, disclose, or otherwise transfer any copies of the Software in any form to any third parties except as described in this Agreement; Alter, translate, decompile, or attempt to reverse engineer the Software, subject to applicable law which permits such activity notwithstanding this contractual prohibition; or Remove or alter any proprietary notices or marks on the Software. All rights to the Software not expressly granted herein are reserved by Web CEO. 5. Personal Information and Privacy We may ask you to provide certain information about you during the Software installation process. All personal information that you provide to us will be governed by the Privacy Policy. You may use the Software whether or not you use the Web CEO Service. If you use the Web CEO Service, either as an existing member or by choosing to join, the personal information you provide to SenderOK will also be governed by the Privacy Policy. By choosing to use the Software or the Service, you indicate your understanding and acceptance of the Privacy Policy. You understand and agree that Web CEO may disclose information if required to do so by law or in the good faith belief that such disclosure is reasonably necessary to comply with legal process, enforce the terms of this Agreement, or protect the rights, property, or safety of Web CEO, its users, and the public. 6. No Warranty THE SOFTWARE IS OFFERED ON AN "AS-IS" BASIS WITH ALL FAULTS AND NO WARRANTY, EITHER EXPRESSED OR IMPLIED, IS GIVEN. WEB CEO EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. YOU UNDERSTAND AND AGREE THAT YOU DOWNLOAD AND/OR USE THE SOFTWARE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGES TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OR USE OF THE SOFTWARE. 7. Right to Terminate or Modify Software Web CEO may modify the SenderOK Software and this Agreement with notice to you either in email or by publishing content on the Website, including but not limited to charging fees for the Software, changing the functionality or appearance of the Software. In the event Web CEO modifies the Software or the Agreement, you may terminate this Agreement and cease using of the Software. Web CEO may terminate the Agreement or the Service at any time, with or without notice. 8. Indemnification By accepting the Agreement, you agree to indemnify and otherwise hold harmless Web CEO, its officers, employers, agents, subsidiaries, affiliates and other partners from any direct, indirect, incidental, special, consequential or exemplary damages arising out of, relating to, or resulting from your use of the Software or any other matter relating to the Software. 9. Limitation of Liability YOU EXPRESSLY UNDERSTAND AND AGREE THAT WEB CEO SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF SOFTWARE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. 10. General The Agreement between you and Web CEO will be governed by and construed in accordance with the laws of Ukraine without regard to conflict of laws principles. The Agreement constitutes the entire agreement between you and Web CEO and governs your use of the Service, superseding any prior agreements between you and Web CEO. If any provision of this Agreement is held by a court of competent jurisdiction to be contrary to law, such provision will be changed and interpreted so as to best accomplish the objectives of the original provision to the fullest extent allowed by law and the remaining provisions of this Agreement will remain in full force and effect. The parties acknowledge that the manufacture and sale of the Software is subject to the export control laws of Ukraine, as amended, and hereby agree to obey any and all such laws. You may not assign this Agreement, and any assignment of this Agreement by you will be null and void. SenderOK, the SenderOK logo, and other SenderOK logos and names are trademarks of Web CEO. You agree not to display or use these trademarks in any manner without prior, written permission of Web CEO. The section titles and numbering of this Agreement are displayed for convenience and have no legal effect.
