INCA Internet Ltd. Software End User License Agreement THE FOLLOWING AGREEMENT ('AGREEMENT') SETS FORTH TERMS AND CONDITIONS UNDER WHICH INCA INTERNET INCORPORATED LIMITED AND THE END USER AGREE UPON. THIS SOFTWARE MAY CONTAIN COMPONENTS, MEDIA, PRINTED MATTERS, ONLINE DOCUMENTS AND DIGITAL DOCUMENTS OF RELATED SOFTWARE. BY INSTALLING, COPYING, OR USING THIS SOFTWARE, YOU ARE ENTERING INTO A BINDING LEGAL CONTRACT WITH INCA INTERNET AND YOU ARE AGREEING FULLY TO THIS AGREEMENT. 1. Right of Use/License Grant Inca Internet only grants to individual end users, non-profit public or private organizations a nonexclusive, royalty-free, nontransferable license to use the software solely for non-commercial purpose. The Agreement does not allow corporates or entities whose primary goal is making profits or creating business for possible profit to install and run in their computers. 2. License Restrictions and Privacy a) The end users or entities that use the software may not: : (i) provide, make available to, or permit other individuals to use the software; (ii) modify, translate, reverse engineer, decompile, disassemble, create derivative works, or otherwise attempt to derive the source code; (iii) copy, reproduce, republish, upload, post, or transmit the software (except for back-up or archival purposes, which will not be used for transfer, distribution, or sale) with any consents from Inca Internet. b) The software may employ applications and tools to create a temporary administrator account in local system that is installed the software from Inca Internet. The administrator account creation is not for a purpose for the collection of personal information and will not keep, store, and transfer to any third parties. The purpose of the account may be necessary to provide users with the relevant technical supports, analysis or functionalities to detect and report threats and vulnerabilities on users?computer. It further enables Inca Internet to track, troubleshoot, and repair the computers that run the software. c) This Agreement grants the end user a nonexclusive, nontransferable license or right to use the software. The license may not be transferred to any third party or another country. The users of the software may not sell, license, sublicense, assign, transfer, lease or rent the software without the consent of Inca Internet. 3. Proprietary Rights The software, including, without limitation, its object code and source code, is strictly confidential to Inca Internet. Inca Internet owns exclusively and reserves all right, title, and interest in and to the software, including, without limitation, all intellectual property rights in and to the software, except to the extent of the limited software use license granted to you in this Agreement. This Agreement is not an agreement of sale, and no title, intellectual property rights, or ownership rights to the Software are transferred to you pursuant to this Agreement. For any circumstance, users may not remove, erase, obscure, or tamper with any copyright or any other product identification or proprietary rights notices, seal, or instructional label printed or stamped on, affixed to, or encoded or recorded in or on any software. The software and documentation are protected by copyright laws and other intellectual property laws of the Republic of Korea and international laws and treaties. 4. Updates The software has an automatic update function and may update the software from time to time without any prior notice to end user. All updates is internet-based services and frequently downloads components that are essential for the software improvement and follow up the latest threats. 5. Data Collection Data collection may be necessary to provide users with the relevant software. The collection includes non-personal information from local system, including the software version, errors, activities and logs, for the purpose of delivering the functionalities of the software, and also for evaluating and improving the ability of the software to detect malicious behavior, potentially fraudulent websites and other internet security risks. 6. Customer Support INCA Internet will provide customer support as listed below while customers using the software. - Regular/Irregular Engine performance and function enhancement - PC Security newsletter issued by INCA Internet Co., Ltd - Support for questions regarding the product and malicious code prevention via land/wireless communication, E-mail, Homepage Bulletin Board System 7. Indemnification INCA Internet Co., Ltd. warrants that there is no physical defection on installed file. Therefore, we will change the software if there is any defection caused from software development. INCA Internet makes no warranty that the software meets the customer's particular purpose. Without limiting the foregoing provisions, INCA Internet makes no warranty that the software will be error-free or free from interruptions or other failures or that the software will meet your requirements. Given the nature and volume of malicious and unwanted electronic content, INCA Internet does not warrant that the software or updates are complete or accurate or that they detect, remove or clean all, or only, malicious or unwanted application and files. 8. Governing Law Dispute between INCA Internet and customer is within the jurisdiction of Korean law and every legal conflict regarding the software use is exclusively within jurisdiction of Seoul Central District Court. 9. Termination End user may terminate their license at any time by remove the software from their system permanently. Inca Internet may terminate the license with end user in the event that the user materially breach the terms of this Agreement. Upon such termination, the end user shall promptly remove and destroy all copies of the software. 10.
