END USER LICENSE AGREEMENT Textshaper Software IMPORTANT - READ CAREFULLY: The terms and conditions that follow set forth a legal agreement between you, the "User" (either an individual or an entity), and Textshaper Software Corporation, relating to the computer software "Textshaper". By clicking the "I Agree" button, you agree to be bound by the terms of this EULA, and to accept it. If you do not agree to the terms of this EULA, you may not install the "Software" product, by clicking the "Cancel" button. 1. Try and Evaluation Rights The free trial and assessment version of the "Software" called Textshaper doesn’t include any performances difference with the commercial Software versions. However, in order to make the trial version unexpoitable, process includes some text encryption. Textshaper Software enables you to try and evaluate the Software, provided that you comply with the terms of this document. 2. Grant of license Textshaper Software grants to you a nonexclusive license to use the Software and the on-line documentation (the "Documentation") accompanying the Software in accordance with this Agreement. For one licence, this Agreement permits you to use one copy of the Software on one computer. The Software is "in use" on a computer when it is loaded into the temporary memory (i.e. RAM). This is a license agreement and not an agreement for sale. 3. Restrictions on use, Intellectual Property Rights Textshaper Software owns and will retain all copyright, trademark, trade secret and other proprietary rights in and to the Software and the Documentation. You obtain only such rights as are specifically provided in this Agreement. You may not make any copies of all or any part of the Software or Documentation, except that you may (i) make copies of the Software solely for backup or archival purposes or (ii) transfer the Software to a single hard disk, provided you keep the original solely for backup or archival purposes. You may not sell, license, sublicense, assign, lease, rent or pledge (or otherwise subject to attachment) the Software or the license granted by this Agreement. You may not modify or make works derivative of the Software and you may not reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of the Software. You may not remove from the Software or Documentation any copyright or other proprietary rights notice or any disclaimer, and you shall reproduce on all copies of the Software made in accordance with this Agreement, all such notices and disclaimers. The Software and the documentation are protected by copyright laws and other intellectual property laws. The Name "TEXTSHAPER" is trademark of Textshaper Software Corporation. 4. Limitations on Liability Textshaper Software provides the Software to you AS-IS and without a warranty of any kind. Textshaper Software does not warrant that the Software will meet your expectations or requirements or that the operation of the Software will be uninterrupted or error free. In no event shall Textshaper Software be liable for special, indirect, incidental, punitive or consequential damages (including without limitation damages resulting from loss of use, loss of data, loss of profits, loss of goodwill or loss of business) arising out of or in connection with the use of or inability to use the Software furnished hereunder, even if Textshaper Software has been advised of the possibility of such damages. In any case, Textshaper Software entire liability under any provision of this agreement shall be limited to the amount actually paid by you for the Software. Because some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you. 5. Limited Warranty for a period of ninety (90) days and General Provisions Textshaper Software warrants that the Software will be free of defects in workmanship and will perform substantially in accordance with the Documentation for a period of ninety (90) days from the date of receipt by you. Textshaper Software also warrants that any services it provides will be performed in a workmanlike manner in accordance with reasonable commercial practice.Textshaper Software's entire liability and your sole remedy under this warranty shall be to use reasonable efforts to repair or replace the nonconforming Software or re-perform the service. If such effort fails, Textshaper Software shall (I) refund the price you paid for the Software upon return of the nonconforming Software and a copy of your receipt or the price you paid for the service, as appropriate, or (II) provide such other remedy as may be required by law. Any replacement Software will be warranted for the remainder of the original warranty period or thirty (30) days from the date of receipt by you, whichever is longer. This limited warranty gives you specific legal rights. You may have others which vary from a jurisdiction to another jurisdiction, so the above limitation may not apply to you. 6. Software lock system - This software includes technologies designed to avoid any illegal use.You may not take any steps to avoid or defeat the purpose of any such measures. Use of the Software without any required lock device or authorization key is prohibited. - The activation technology may prevent your use of the software if you do not follow the activation process described in the software and documentation. Product activation is a technical measure that helps protect Textshaper Software against unauthorized copying of its software. - For one licence, you are allowed to activate and use the Software on one computer. - With the first launching of the software, a procedure of activation must be done for the machine on which it is installed. During this operation, which only takes a few seconds, you use the licence number that Textshaper Software provided you at the time of the purchase of the software. - When the software is activated on a computer, it is possible to transfer the licence on another computer. You may activate and transfer your licence as many times as you wish. - Be careful, in order to avoid losing some activation right, don’t forget to transfer the licence of the software you installed on your computer for the next cases: replacement of your computer by a new machine, changes on your machine, particulary if the hard disk is replaced, is formatted ... To resume, to avoid losing your activation right, it’s useless to uninstall software but it’s essential to transfer the licence, when software is still installed. 7. Divisibility If for any reason a court of competent jurisdiction finds any provision of this Agreement, or a portion thereof, to be unenforceable, that provision shall be enforced to the maximum extent permissible and the remainder of this Agreement shall remain in full force and effect. 8. Agreement Translation The French language version of this Agreement shall be the authorized text for all purposes, despite translations or interpretations of this Agreement into other languages. 9. Termination Without prejudice to any other rights, Textshaper Software may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, the User must destroy all copies of the Software and all of its component parts
