License Terms IMPORTANT NOTICE -- READ CAREFULLY. This license is the agreement which governs the use of the Death 2 Ads software and any downloadable updates, printed materials or Internet-based services, referred to herein as ("SOFTWARE"). Unless you have a different license agreement signed by Firewall Technologies Limited ("FTL"), by downloading, installing, copying, or otherwise using the SOFTWARE, you agree to be bound by the terms of this license. If you do not agree to the terms of this license, do not install or use the SOFTWARE. Your use of this SOFTWARE indicates your acceptance of this license agreement. 1. GRANT OF LICENSE. Firewall Technologies Limited (FTL) grants the Recipient a limited non-exclusive, non-transferable, royalty-free license to install and use ONE copy on any single computer. Backup copies are permitted as long as they are solely for backup purposes and otherwise not used. All other title and copyrights are reserved to FTL. The Recipient shall not rent, lease, sell, sublicense, assign, export, or otherwise transfer the Product, including any accompanying printed materials. The Recipient shall not publish the software for others to copy. Contact FTL if you wish to assign your license to another party. All title and copyrights to the SOFTWARE (including but not limited to all images, photographs, animations, video, audio, music, text, and other information incorporated into the SOFTWARE), any accompanying printed materials, and any copies of the SOFTWARE, are owned by FTL, or its suppliers. The SOFTWARE is protected by copyright laws and international treaty provisions. Accordingly, Customer is required to treat the SOFTWARE like any other copyrighted material, except as otherwise allowed by this LICENSE. The recipient may not reverse engineer, decompile or disassemble the Product except to the extent that this restriction is expressly prohibited by applicable law. The recipient may not work around any technical limitations in the software. FTL shall retain title and all ownership rights to the SOFTWARE, and any customisations or updates including any statistical or advert data stored using the product. 2. PRODUCT MAINTENANCE. FTL is not obligated to provide maintenance or updates to Recipient for this Product. However, updates provided by FTL shall be covered by this Agreement. 3. DISCLAIMER OF WARRANTY. This Product is deemed accepted by Recipient. The PRODUCT is provided AS IS WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Firewall Technologies Limited FURTHER DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. THE ENTIRE RISK ARISING OUT OF THE USE OR PERFORMANCE OF THE PRODUCT AND DOCUMENTATION REMAINS WITH RECIPIENT. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Firewall Technologies Limited OR ITS SUPPLIERS BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, DIRECT, INDIRECT, SPECIAL, PUNITIVE, OR OTHER DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR OTHER PECUNIARY LOSS) ARISING OUT OF THIS AGREEMENT OR THE USE OF OR INABILITY TO USE THE PRODUCT, EVEN IF Firewall Technologies Limited HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 4. GOVERNING LAW; ATTORNEYS FEES. This Agreement shall be governed by the laws of New Zealand and the Recipient further consents to jurisdiction by New Zealand courts. If either FTL or the Recipient employs attorneys to enforce any rights arising out of or relating to this Agreement, the prevailing party shall be entitled to recover reasonable attorneys'' fees. 5. PUBLICATION OF INFORMATION Publication of any benchmarks, reviews or performance tests without written approval from FTL is strictly prohibited. 6. PRIVACY Privacy and Security are really important to us, and we know it is also a very sensitive topic. The emphasis we place on privacy should not be surprising given we''ve gone to a lot of effort to build software to stop Internet advertisers from tracking and profiling you! Our CEO''s views on privacy are particularly strong and available on our website http://www.death2ads.com/privacy_legal.html This software is internet software and as such communicates with Death 2 Ads servers regularly as part of normal operation. In the interests of full disclosure, we want to go the extra mile and identify specifically that the software: a) checks for updates to ensure you have the correct and latest version of the software and database of evil advert servers b) logs any critical internal software failures so we can fix them and respond to any customer support requests. we hope none! c) stores any new ads/ad servers or links you identify in the global database so that we can remove that ad from all others webpages We proactively check all critical error logs in case a critical error arises that we need to fix, then erase that information. 7. TERMINATION This LICENSE will automatically terminate if Customer fails to comply with any of the terms and conditions hereof. In such event, Customer must destroy all copies of the SOFTWARE and all of its component parts. 8. ENTIRE AGREEMENT. This Agreement constitutes the complete and exclusive agreement between FTL and the Recipient with respect to the subject matter hereof, and supersedes all prior oral or written understandings, communications or agreements not specifically incorporated herein. This Agreement may not be modified except in a writing duly signed by a Director of FTL.
