IMPORTANT: THIS IS AN AGREEMENT BETWEEN YOU AND INTERNET INVEST GMBH. BY INSTALLING OR USING THIS SOFTWARE YOU ARE AGREEING TO THE TERMS AND CONDITIONS OF THIS AGREEMENT. INTRODUCTION 1.1 "Internet Invest GmbH" stands for Internet Invest Unternehmensberatungs und Beteiligungs GmbH. 1.2 "SOFTWARE" stands for software-programms and its components, which are granted by Internet Invest GmbH, including corresponding documentation, media, printed material and other online or electronic documentation. 1.3. Internet Invest GmbH grants the end-user, according to the following General Terms of Use a non-exclusive right and license to the herein attached computer software: WizAdvisor 3.0 1.4 The "LICENSE KEY" is a given key, which represents granted rights in a compact form. A LICENSE KEY contains information about: * The domain or IP adress you have to use. * The runtime of the license key, corresponding to the end date of use of the software. 2 GRANTED RIGHTS 2.1 Installation and USE. You may only use and install one single copy of the SOFTWARE, with the in the license key refered domain or IP adress, according to the license type and other restrictions of the LICENSE KEY. 3 LICENSE-TYPES 3.1 Trial mode. You may use the SOFTWARE in the trial mode, if allowed, exclusively for test and evaluation needs, until the license key is installed. In the trial mode the amount of functions and features of the software may be restricted. A commercial use is not granted. 3.2 Starter-license. The Starter license is restricted to 20 products and a single domain or IP adress and grants you the right to run the SOFTWARE in a commercial or profit-oriented environment. Per paid license one single installation may be installed. A change of this domain or IP is not allowed. The IP or domain, specified in the order is essential: Upgrades and Software maintanance are not part of license. 3.3 Professional-license. The Professional liscnes is limited to 50 products and a single domain or IP and allows you to use the software in a commercial or profit-oriented environment. A change of this domain or IP is not allowed. The IP or domain, specified in the order is essential: Upgrades and Software maintanance are not part of license. 3.4.1. Enterprise-license. The Enterprise-license is has not limited to a certain amount of products, it is however limited to a single domain or IP. The license grants you the right to run the SOFTWARE in a commercial or profit-oriented environment. 3.4.2. For the Enterprise-License a software lease is agreed. The runtime of the lease is one year, starting from the first installation of the software on a domain or IP. The runtime will be enlonged if a new yearly license fee is paid, or a long-term license is orderd and paid. 3.4.3. Upgrades und software-maintanance are part of the software lease. 3.4.4. Every Single Selection Tool, created with the WizAdvisor Software may be used for a multitude of countries and languages. 3.4.5. The WizAdvisor Enterprise software may be used on multiple occasions to satisfy the consulting service demands for various product groups. The scale of the installation and use of further selection advisors (Consulting service for multiple product groups) within the license key, depends on the specific order. (Agreement and invoice) 3.4.6. The WizAdvisor software is accredited for a dedicated domain or IP. A change of this domain or IP within the duration of the agreement is allowed at anytime and unlimited, however the valid IP or domain has to be announced to the developer, Internet Invest GmbH. 3.5 Demo-License. The demo-license grants you the right to run the software within a commercial or profit-oriented environment for test and evaluation purposes. The duration of demo-licenses is one month. EXCEPTION: The license key grants you a different duration. 4 LICENSE RESTRICTIONS 4.1 Transfer. You are not allowed to transfer copies of the SOFTWARE or the LICENSE KEY to others. 4.2 Privacy. As holder of a LICENSE KEY you are responsible for its concealment. If others, due to negligent or deliberate treatment get access to the LICENSE KEY, you are liable for the disadvantages that result for the INTERNET INVEST GMBH. 4.3 Reproduction. The reproduction of the SOFTWARE on a certain medium is based on the formal agreement of the INTERNET INVEST GMBH (including, but not limited to CD-ROM, DVD or Internet download) Backup or installation pruposes are excluded from the restriction. 4.4 Interdiction of Reverse Engineering, decompiling and disassembling. You are not allowed to decompile, dissassemble or by any other means analyse the internal functionality of the software, excluding activities granted by valid laws and regulations, despite this restriction. 4.5 Rental. You are not allowed to rent or lease the SOFTWARE. This refers also to copies of the SOFTWARE and granted rights in this agreement. 4.6 Reservation of rights. INTERNET INVEST GMBH reserves all rights, that are not granted formally. 4.7 Non-exclusive rights. Your rights granted in this EULA are non-exclusive. 5 COPYRIGHT AND OWNERSHIP The SOFTWARE is protected by Copyright-regulations and international Copyright-law, and other regulations and law of the intellectual property right. The SOFTWARE is licensed, not vended. 6 DURATION AND TERMINATION OF THE AGREEMENT 6.1 Duration. This EULA is settled for an indefined time period. INTERNET INVEST GMBH is allowed to terminate the EULA and to dissolve the granted rights, if you are acting against one of its terms. In that case, you have to delete all of the copies and the software itself. 6.2 Continuity of terms. All terms referring to privacy, confidentiality and restriction of liability are consistent even after the dissolution of this agreement. 7. WAIVER OF WARRANTEE AND LIABILITY 7.1 NO OTHER WARRANTIES. EXCEPT AS PROVIDED HEREIN, THE SOFTWARE IS PROVIDED "AS IS" AND INTERNET INVEST GMBH EXPRESSLY DISCLAIMS ANY AND ALL OTHER WARRANTIES, EXPRESSED, IMPLIED OR STATUTORY CONCERNING THE SOFTWARE OR THE APPLICATION, OPERATION OR USE THEREOF, OR THE DATA GENERATED BY THE OPERATION OR USE THEREOF, INCLUDING, ANY IMPLIED WARRANTY ARISING BY STATUTE OR OTHERWISE IN LAW OR FROM A COURSE OF DEALING OR USAGE OF TRADE AND ALL IMPLIED WARRANTIES OF MERCHANTABILITY OR OF MERCHANTABLE QUALITY, NON-INFRINGEMENT OR OF FITNESS FOR ANY PURPOSE, PARTICULAR, SPECIFIC OR OTHERWISE, CONCERNING THE SOFTWARE AND THE ACCOMPANYING WRITTEN MATERIALS AND THE APPLICATION, OPERATION, OR USE THEREOF. 7.2 NO LIABILITY FOR DAMAGES. You assume the entire risk as to the quality and performance of the Software. IN NO EVENT SHALL INTERNET INVEST GMBH HAVE LIABILITY TO YOU OR ANY OTHER PERSON OR ENTITY FOR DAMAGES IN THE FORM OF CONSEQUENTIAL, INCIDENTAL, OR SPECIAL DAMAGES, LOST PROFITS, LOST SAVINGS, LOST DATA, LOSS OF GOODWILL OR OTHERWISE, OR FOR EXEMPLARY DAMAGES, RESULTING FROM YOUR USE OR INABILITY TO USE THE SOFTWARE, EVEN IF VISUAL IT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. VISUAL IT'S AGGREGATE LIABILITY FOR ALL CLAIMS UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNTS RECEIVED BY INTERNET INVEST GMBH FROM YOU FOR SOFTWARE LICENSED HEREUNDER. 8 VARIOUS TERMS 8.1 Salvatoric Clause. Ineffectiveness of single terms do not touch the efficiency of the other terms. 8.2 Governing Law. This Agreement shall be governed by, and construed in accordance with, the laws of the REPUBLIC OF AUSTRIA. 8.3 Jurisdiction: The assigned courts in Vienna/Austria. 9. The TERMS OF USE of INTERNET INVEST GMBH ARE APPLIED. 10. In case of translation differences between the German and the English version of the EULA, the german version is the source to refer. Die Firma Internet Invest GmbH gewhrt dem Kunden nach Magabe der nachfolgenden allgemeinen Geschftsbedingungen ein nicht ausschlieliches Nutzungsrecht an der hier beigefgten Computersoftware genannt "WizAdvisor 3.0". 1.3 "LIZENZSCHLSSEL" ist eine Zeichenkette, die Ihnen gewhrten Rechte in kompakter Form reprsentiert. Ein LIZENZSCHLSSEL enthlt Informationen ber: * Die zu verwendende Domain oder IP Adresse. * Die Laufzeit des Lizenzschlssels bis zu welchem Datum die Software benutzt werden darf. 2 GEWHRTE RECHTE 2.1 Installation und Verwendung. Sie drfen eine Kopie der SOFTWARE auf einem Computer mit der im Lizenzschlssel angegebenen Domain oder mit der angegebenen IP Adresse installieren und verwenden ("ABLAUFEN LASSEN"), wie der Lizenz-Typ und sonstige im LIZENZSCHLSSEL angegebene Einschrnkungen erlauben. 3 LIZENZ-TYPEN 3.1 Probe-Modus. Solange kein LIZENZSCHLSSEL installiert wurde um bestimmte Lizenz-Rechte einzurumen, drfen Sie die SOFTWARE im Probe-Modus (sofern dieser vorhanden ist) ausschlielich zu Test- und Evaluationszwecken laufen lassen. Im Probe-Modus kann die Menge von Funktionen eingeschrnkt verfgbar sein. Eine kommerzielle Nutzung ist untersagt. 3.2 Starter Lizenz. Die Laufzeit kann verlngert werden, indem eine neuerliche Jahres-Lizenzgebhr bezahlt wird, oder indem bei der Bestellung eine Mehrjahreslizenz bezahlt wird. 3.4.3. Upgrades und Software-Pflege sind Teil der Software-Miete. 3.4.4. Jeder der mit der WizAdvisor Software erstellten Auswahlberater kann fr eine vielfache Zahl an Lndern und Sprachen eingesetzt werden. 3.4.5.Die WizAdvisor Enterprise Software kann mehrfach zwecks Abdeckung des Beratungsbedarfs fr mehrere Produktgruppen eingesetzt werden. Der Umfang der Zulssigkeit fr Installation und Einsatz von weiteren Auswahlberatern (Beratungsbedarf fr mehrere Produktgruppen).im Rahmen eines Lizenzschlssels hngt von der jeweiligen Bestellung (Einzelvertrag laut Rechnung) ab. 3.4.6. Die WizAdvisor Software ist fr eine dedizierte Domain oder IP zugelassen. Eine nderung dieser Domain oder IP innerhalb der Vertragslaufzeit ist fr die Enterprise-Lizenz jederzeit und unbeschrnkt zulssig, nur muss die jeweils gltige Domain oder IP dem Hersteller bekannt gegeben werden. 3.5 Demo-Lizenz. Die Demo-Lizenz erlaubt Ihnen, die SOFTWARE in einer kommerziellen oder gewinnorientierten Umgebung zu Test- und Evaluationszwecken laufen zu lassen. Demo-Lizenzen sind fr die Dauer eines Monats gltig, sofern mit dem LIZENZSCHLSSEL nicht ein anderes Ablaufdatum bestimmt wird. 4 EINSCHRNKUNGEN DER LIZENZ 4.1 Weitergabe. Sie drfen keine Kopien der SOFTWARE oder des LIZENZSCHLSSELS an Dritte weitergeben. 4.2 Geheimhaltung. Als Besitzer eines LIZENZSCHLSSELS sind Sie fr dessen Geheimhaltung verantwortlich. Wenn Dritte durch absichtliche oder fahrlssige Handlungen Zugriff auf den LIZENZSCHLSSEL bekommen, sind Sie fr die Schden, die INTERNET INVEST GMBH daraus erwachsen, haftbar. 4.3 Reproduktion. Die SOFTWARE darf nur mit formaler Zustimmung von INTERNET INVEST GMBH auf irgendeinem Medium reproduziert werden (einschlielich, aber nicht beschrnkt auf, CD-ROM, DVD oder Internet Download), ausgenommen zu Backup-Zwecken oder zur Installation. 4.4 Verbot von Reverse Engineering, Decompilierung und Disassemblierung. Sie drfen die Software nicht decompilieren, disassemblieren oder auf sonst eine Art die interne Funktionsweise analysieren, ausgenommen jener Aktivitten, die trotz dieser Beschrnkung von gltigen Gesetzen erlaubt werden. 4.5 Verleih. Sie drfen die SOFTWARE nicht vermieten, verpachten oder verleihen und auch keine Kopie der SOFTWARE oder ein in dieser Vereinbarung gewhrtes Recht belasten. 4.6 Vorbehalt von Rechten. INTERNET INVEST GMBH behlt alle Rechte, die nicht explizit weitergegeben wurden. 4.7 Nicht-exklusive Rechte. Ihre Rechte unter dieser EULA sind nicht-exklusiv. 5 COPYRIGHT UND BESITZ Die SOFTWARE wird durch Copyright-Gesetze und internationale Copyright-Abkommen sowie andere Gesetze und Abkommen des Immaterialgterrechts geschtzt. Die SOFTWARE wird lizenziert, nicht verkauft. 6 VERTRAGSDAUER UND AUFLSUNG 6.1 Vertragsdauer. Diese EULA wird auf unbestimmte Zeit geschlossen. Die INTERNET INVEST GMBH darf diese EULA jedoch auflsen und die Ihnen gewhrten Rechte aufkndigen, wenn Sie einer ihrer Bestimmungen zuwider handeln. In so einem Fall mssen Sie alle Kopien der SOFTWARE zerstren bzw. lschen. 6.2 Weiterbestehen von Bestimmungen. Alle Vorschriften bezglich Geheimhaltung, Vertraulichkeit und Beschrnkung der Haftung bestehen nach einer Auflsung dieser Vereinbarung weiter. 7. VERZICHT AUF GEWHRLEISTUNG UND HAFTUNG. 7.1 BESCHRNKUNG DER GEWHRLEISTUNG. DIE SOFTWARE WIRD "WIE SIE IST" ZUR VERFGUNG GESTELLT, OHNE GARANTIEN JEGLICHER ART. INTERNET INVEST GMBH UND IHRE LIEFERANTEN LEHNEN HIERMIT, IM MAXIMALEN VON GLTIGEN GESETZEN ERLAUBTEN AUSMASS, JEGLICHE GEWHRLEISTUNG AB, SEI SIE AUSDRCKLICH ODER IMPLIZIT, EINSCHLIESSLICH DER, ABER NICHT BESCHRNKT AUF DIE MNGELGEWHRLEISTUNG, BRAUCHBARKEIT FR EINEN BESTIMMTEN ZWECK, EIGENTUM UND FREIHEIT VON RECHTSVERLETZUNGEN IN BEZUG AUF DIE SOFTWARE ODER DIE BEREITSTELLUNG ODER DAS SCHEITERN VON SUPPORT DIENSTLEISTUNGEN. DIESE BESCHRNKTE GEWHRLEISTUNG GIBT IHNEN BESTIMMTE RECHTE. SIE KNNEN JE NACH STAAT/RECHTSPRECHUNG AUCH ANDERE HABEN. 7.2 BESCHRNKUNG DER HAFTUNG. INTERNET INVEST GMBH IST IM MAXIMALEN VON GLTIGEN GESETZEN ERLAUBTEN AUSMASS IN KEINEM FALL HAFTBAR FR IRGENDWELCHE SPEZIELLEN, ZUFLLIGEN, INDIREKTEN, FOLGE- ODER SONSTIGE SCHDEN (EINSCHLIESSLICH, ABER NICHT BESCHRNKT AUF SCHDEN DURCH GEWINNENTGANG, BETRIEBSUNTERBRECHUNG, VERLUST VON BETRIEBSDATEN ODER JEDEN ANDEREN GELDVERLUST), DIE DURCH DIE VERWENDUNG ODER DIE UNMGLICHKEIT DER VERWENDUNG DER SOFTWARE ODER DURCH DIE BEREITSTELLUNG ODER DAS SCHEITERN VON SUPPORT DIENSTLEISTUNGEN ENTSTEHEN. IN JEDEM FALL WIRD INTERNET INVEST GMBHS HAFTUNG UNTER DEN BEDINGUNGEN DIESER EULA MAXIMAL AUF JENEN BETRAG BEGRENZT, DEN SIE FR DIE SOFTWARE BEZAHLT HABEN. 8 Verschiedene Bestimmungen 8.1 Salvatorische Klausel. Falls eine der Bestimmungen dieser Vereinbarung vollstndig oder teilweise ungltig, rechtsunwirksam oder undurchfhrbar ist oder wird, ist die Gltigkeit aller anderen Bestimmungen davon nicht berhrt. 8.2 Geltendes Recht. Diese Vereinbarung wird durch die Gesetze der Republik sterreich geregelt. 8.3 Gerichtsstand. Die zustndigen Gerichte in Wien/sterreich haben die ausschlieliche Zustndigkeit in Bezug auf alle Auseinandersetzungen in Verbindung mit dieser Vereinbarung. 9. Es gelten die AGB zur berlassung, Nutzung und Pflege, von Standardsoftware der Internet Invest GmbH.
